Common use of Registration of Transfers of Receipts Clause in Contracts

Registration of Transfers of Receipts. The Company hereby appoints the Trust Company as the Registrar and Transfer Agent for the Receipts and the Trust Company hereby accepts such appointment subject to the express terms and conditions set forth herein and, as such, shall register on its books from time to time transfers of Receipts upon any surrender thereof by the holder in person or by a duly authorized attorney, agent or representative properly endorsed or accompanied by a properly executed instrument of transfer or endorsement and appropriate evidence of authority, which shall include a signature guarantee from an eligible guarantor institution participating in a signature guarantee program approved by the Securities Transfer Association, and any other reasonable evidence of authority that may be required by the Trust Company, together with evidence of the payment by the applicable party of any transfer taxes or similar taxes or charges as may be required by law. Upon such surrender, the Trust Company shall execute a new Receipt or Receipts and deliver the same to or upon the order of the person entitled thereto evidencing the same aggregate number of Depositary Shares evidenced by the Receipt or Receipts surrendered.

The Company hereby appoints the Trust Company Computershare as the Registrar and Transfer Agent for the Receipts Depositary Shares, and the Trust Company Computershare hereby accepts such appointment subject to the express terms and conditions set forth herein and, as such, shall register on its books from time to time transfers of Receipts the Depositary Shares, including transfers of Receipts, upon any surrender thereof by the holder in person or by a duly authorized attorney, agent or representative representative, properly endorsed or accompanied by a properly executed instrument of transfer or endorsement and appropriate evidence endorsement, subject to the inclusion therein of authority, which shall include a signature guarantee from an eligible guarantor institution participating in a signature guarantee program approved by the Securities Transfer Association, Association and any other reasonable evidence of authority that may anything else required to be required included therein by the Trust Companyapplicable law, together with evidence of the payment by the applicable party of any transfer taxes or similar taxes or charges as may be required by law.
