Registration on Form SB. 2 or other Registration Form. The Company shall, as soon as practicable, but not later than September 30, 2005, file with the SEC a registration statement on Form SB-2 or other available form of registration statement (the "Registration Statement"), covering the sale of all of the Registrable Securities, which Registration Statement shall state that, in accordance with Rule 416 promulgated under the 1933 Act, such Registration Statement also covers such indeterminate number of additional shares of Common Stock as may become issuable upon stock splits, stock dividends or similar transactions. The Company shall use commercially reasonable efforts to have the Registration Statement declared effective by the SEC within ninety (90) calendar days after the date such Registration Statement is initially filed with the SEC.
