REGISTRATION RIGHTS FOR THE INTEGRITY SHARES. It is a condition precedent to SVI's obligations under this Agreement (including the granting of SVI's consent to the transfer of the Ibis Shares to Jyris) that SVI shall have entered into a Registration Rights Agreement with Integrity which provides that, for so long as SVI owns or holds a security interest in shares of common stock of Integrity, SVI shall be entitled to the registration rights set forth in this paragraph 8.

The Pledgor agrees to cause the applicable Issuer to comply with the provisions of the securities or "Blue Sky" laws of any and all jurisdictions which the Administrative Agent shall designate and to make available to its security holders, as soon as practicable, an earnings statement (which need not be audited) which will satisfy the provisions of Section 11(a) of the Securities Act.

  • Assignability of Registration Rights Except as provided in Section 8.11, no Party may assign, delegate or otherwise transfer any of its rights or obligations under this Agreement without the written consent of the other Party to this Agreement.
