Registration Rights; Private Sales. (a) If the Administrative Agent shall determine to exercise its right to sell any or all of the Pledged Equity pursuant to paragraph 8 hereof, and if in the opinion of the Administrative Agent it is necessary or advisable to have the Pledged Equity or that portion thereof to be sold, registered under the provisions of the Securities Act of 1933, as amended (the "Securities Act"), the Pledgors will use its commercially reasonable efforts to take or to cause the Issuer of such Pledged Equity to take such action and prepare, distribute and/or file such documents, as required or advisable in the reasonable opinion of counsel for the Administrative Agent to permit the public sale of such Pledged Equity.

Registration Rights; Private Sales. (a) If the Administrative Agent Trustee shall determine to exercise its right to sell any or all of the Pledged Equity pursuant to paragraph 8 16(b) hereof, and if in the opinion of the Administrative Agent Trustee it is necessary or advisable to have the Pledged Equity or that portion thereof to be sold, registered under the provisions of the Securities Act of 1933, as amended (the "“Securities Act"”), the Pledgors subject to applicable Gaming Laws, Holdings will use its commercially reasonable efforts to take or to cause the Issuer of such applicable Pledged Equity Entities to take such action and prepare, distribute and/or file such documents, as required or advisable in the reasonable opinion of counsel for the Administrative Agent Trustee to permit the public sale of such Pledged Equity.
