Regulatory and Legal Compliance. Seller is in compliance in all material respects with all Legal Requirements. Seller has not received any notice from any governmental authority or any other Person of any alleged violation or noncompliance. As used herein, the term “Legal Requirements” means, with respect to any Person, all foreign, federal, state and local statutes, laws, ordinances, judgments, decrees, orders, rules, regulations, policies and guidelines applicable to such Person.
