Promptly and in any event within five Business Days after receipt thereof by the Borrower and its Subsidiaries or any Holdco Entity, a copy of any form of material notice, summons, citation, proceeding or order received from the FERC or any other Governmental Authority concerning the regulation of any material portion of the Pipeline Systems;
