Common use of Regulatory Qualifications Clause in Contracts

Regulatory Qualifications. To the Buyers’ actual knowledge, there are no facts or circumstances attributable to the Buyers that would likely cause the U.S. DOE or any other Educational Agency whose authorization, consent or approval is required in connection with this Agreement or the other Transaction Documents and the transactions contemplated hereby and thereby to refuse to deliver such authorization, consent or approval.

To the Buyers’ actual Buyer's knowledge, there are no facts or circumstances attributable to the Buyers Buyer that would likely cause the U.S. DOE DOE, or any other Educational Agency Necessary Regulatory Authority, whose authorization, consent or similar approval is required in connection with this Agreement or the other Transaction Documents and the transactions contemplated hereby and thereby by this Agreement, to refuse to deliver such authorization, consent or similar approval.
