Regulatory Restrictions on Distributions. No Material Subsidiary is subject to any prohibition, restriction or limitation on its ability to make or pay dividends or other distributions to Borrower (i) that has been imposed by a Governmental Authority, and (ii) that, as imposed on any date on which this representation is made or is deemed made, would reasonably be expected to have a Material Adverse Effect.
