Reimbursement for Organizational and Offering Expenses. The Partnership shall reimburse the Managing General Partners for Organizational and Offering Expenses incurred by the Managing General Partners and their Affiliates, up to a maximum of 5% of the total Limited Partner Capital Contributions.
