Reimbursement of Expenses; D&O Insurance. The Company shall reimburse the General Atlantic Director for all reasonable travel and accommodation expenses incurred by him in connection with the performance of his duties as director of the Company upon presentation of appropriate documentation therefor. The Company shall use reasonable commercial efforts to maintain a directors' liability insurance policy that is reasonably acceptable to the Board of Directors.
Reimbursement of Expenses; D&O Insurance. The Company shall reimburse the Initial Stockholder with rights to appoint director(s) (other than the CEO Director) pursuant to this Article VI, or their respective designees (including Board Observers), for all reasonable out-of-pocket travel and accommodation expenses incurred by its respective designee in connection with the performance of such designee’s duties as a director (or Board Observer) of the Company upon presentation of appropriate documentation therefor. The Company and each Stockholder shall use reasonable commercial efforts to cause the Board of Directors to cause the Company to, maintain a directors’ liability insurance policy that is reasonably acceptable to the directors designated by the Initial Stockholders.
Reimbursement of Expenses; D&O Insurance. The Company shall reimburse the Directors for all reasonable travel and accommodation expenses incurred by him in connection with attending Board meetings and committee meetings as director of the Company upon presentation of appropriate documentation therefor. The Company shall, and each Shareholder shall use reasonable commercial efforts to cause the Board of Directors to cause, the Company to, maintain a directors' liability insurance policy that is reasonably acceptable to the Board of Directors and at a minimum provides coverage comprising US$25 million or such other amount as shall be agreed to by the Board and consented to by SAIF, such consent not to be unreasonably withheld. To the extent permissible under applicable Requirements of Law the parties shall include a provision in the Restated Articles to the effect that the Company shall indemnify each Director under the Restated Articles for all costs, loss, damages and expenses suffered or incurred by a Director for any claim, proceeding or suit in connection with the Directors capacity as a director of the Company.

The Company shall maintain after the date hereof a directors’ liability insurance policy that is reasonably acceptable to NAV CANADA.

The Company shall reimburse the members of the Board of Directors for all reasonable travel and accommodation expenses incurred by the directors in connection with the performance of their duties as directors of the Company upon presentation of appropriate documentation therefor.

The Company shall reimburse the Preferred Shareholder Directors (including, for the avoidance of doubt, the General Atlantic Director), or their respective designees, for all reasonable travel and accommodation expenses incurred by the Preferred Shareholder Directors (including, for the avoidance of doubt, the General Atlantic Director) in connection with the performance of its duties as director of the Company upon presentation of appropriate documentation therefor. The Company shall, and each Shareholder shall use reasonable commercial efforts to cause the Board of Directors to cause the Company to, maintain a directors’ liability insurance policy that is reasonably acceptable to the General Atlantic Director.
Reimbursement of Expenses; D&O Insurance. The Company shall reimburse each of Charles E. Becker and Elkin McCallum or their respective designees pxxxxxxx xx Xxxxxxn 6.3 xxx xxx xxxxxnable travel and accommodation expenses incurred by him in connection with attendance at meetings of the Board of Directors and committees thereof upon presentation of appropriate documentation therefor.
Reimbursement of Expenses; D&O Insurance. The Company shall reimburse the Controlling Series A Shareholder, or its respective designees, for all reasonable travel and accommodation expenses incurred by the Series A Director in connection with the performance of his duties as a director of the Company upon presentation of appropriate documentation therefor. The Company shall, and each Shareholder shall use reasonable commercial efforts to cause the Board of Directors to cause the Company to, maintain a directors’ liability insurance policy that is reasonably acceptable to the Board of Directors.
Reimbursement of Expenses; D&O Insurance. The McMahon Stxxxxxxxers shall use their reasonable efforts to cause the Company to reimburse the ICF Stockholder or their respective designees, for all reasonable travel and accommodation expenses incurred by the ICF Director in connection with the performance of his or her duties as a director of the Company upon presentation of appropriate documentation therefor. Each Stockholder shall use reasonable efforts to cause the Company to, maintain a directors' liability insurance policy that is acceptable to the Board of Directors.
Reimbursement of Expenses; D&O Insurance. The Company shall reimburse each of Chaxxxx X. Xxxxxx xxd Elkxx XxXxxxxx xx their respective designees pursuant to Section 6.3 for all reasonable travel and accommodation expenses incurred by him in connection with attendance at meetings of the Board of Directors and committees thereof upon presentation of appropriate documentation therefor.
