Common use of Reimbursement of Expenses Clause in Contracts

Reimbursement of Expenses. To the extent Indemnitee has not requested any advanced payment of Expenses from the Company, Indemnitee shall be entitled to receive reimbursement for the Expenses incurred in connection with a Proceeding from the Company immediately after Indemnitee makes a written request to the Company for reimbursement unless the Company refers the indemnification request to the Reviewing Party in compliance with Section C.2(c) below.

Such written request shall specify the Company refers Indemnifiable Amounts for which the indemnification request to Indemnitee seeks payment under Section 3 above and the Reviewing Party in compliance with Section C.2(c) belowbasis for the claim.

To the extent Indemnitee has not requested any advanced payment of Expenses from the Company, Indemnitee shall be entitled to receive reimbursement for the Expenses reasonably incurred in connection with a Proceeding from the Company immediately after Indemnitee makes a written request with all relevant particulars to the Company for reimbursement unless the Company refers the indemnification request to the Reviewing Party in compliance with Section C.2(c) below.

To the extent the Indemnitee has not requested any advanced payment of Expenses from the Company, the Indemnitee shall be entitled to receive reimbursement for the Expenses incurred in connection with a Proceeding or Indemnifiable Event from the Company immediately as soon as practicable after the Indemnitee makes a written request to the Company for reimbursement unless reimbursement, and in any event no later than ten (10) business days after the Company refers has received such a written request by the indemnification request to the Reviewing Party in compliance with Section C.2(c) below.Indemnitee,
