Reimbursement of Members. The Company or its subsidiaries shall pay or reimburse to the RSP LLC Members and NGP all reasonable direct and indirect costs and expenses incurred by such Members in organizing the Company, including legal fees and accounting fees, and an “NGP Financing Fee” in an amount equal to 1% of its Capital Contributions as invested in the Company. The NGP Financing Fee shall be payable upon each date of NGP’s funding of a Capital Contribution to the Company in an amount equal to 1% of the aggregate amount funded to the Company by NGP on such date and at NGP’s option such fee may be deducted from the amount so funded.
