Reinstatement after Termination. If the Company terminates this Contract under Section 12.C or 12.D, and the Client desires to reinstate this Contract, the Client may do so only if: (1) the Company agrees; and (2) the Client pays a Reactivation Fee of the greater of five hundred dollars ($500) or two percent (2%) of the average amount of the monthly claims for the last three months; and (3) the Client pays all outstanding amounts plus interest accruing from the date of termination at the rate of the lesser of one and one-half percent (1.5%) per month or the maximum allowed pursuant to state law; and (4) the Client reimburses the Company for any network access fees required to be paid by the Company on behalf of the Client following termination of this Contract.
