Common use of Related Agreements Clause in Contracts

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, ) true and correct copies, certified as to authenticity by a Responsible Officer of the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of each of the Transaction Documents and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or any of its Subsidiaries may be a partyparty (after giving effect to the Asset Contribution).

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, ) true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Indenture and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, including a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Acquisition Agreement and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in delivered by a form method reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerMAPCO Express, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other documents or instruments as may be reasonably requested by the Administrative AgentAgent on or prior to the Closing Date, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or its Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory received, to the Administrative Agent), with a copy for each Lenderextent not previously delivered, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Group Members may be a partyparty that in each case is listed on Schedule 7.2(d) (the “Existing Indebtedness”).

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, copies of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower, Global Signal or their respective Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Soda Ash Partnership Agreement, the Management Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or its Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Merger Agreement, the Senior Subordinated Note Indenture, the Holdings Discount Debentures Indenture and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Indenture, (ii) the Purchase Documents and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of supply Agreements and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Partnership Agreement, the certificate of limited partnership of the Borrower, the limited liability company agreement, limited partnership agreement, or other equivalent governance documents, as the case may be, of each Subsidiary of the Borrower, the General Partner and the Limited Partner, and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Indenture and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Acquisition Agreement, the Second Priority Note Indenture, the Xxxx Xxxxxxx Credit Agreement, the Paper Company Loan Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any material debt instrument, security agreement or other material contract to which the any Loan Parties Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) each Acquisition Agreement, (ii) the Specified License Agreements, (iii) the Danskin License Agreement and (iv) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents any instrument evidencing Indebtedness or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form and substance reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, Borrowers of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of and any debt instrument, security agreement or other material contract to which the any Loan Parties Party may be a party, in each case not previously delivered in connection with the Original Credit Agreement.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Indenture and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which any of the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lenderreceived, true and correct copies, certified as to authenticity by of each of the Borrowerexisting Revenue Sharing Agreements and any purchase agreements executed in connection with an Acquisition or proposed Acquisition, of and such other documents or instruments as may be reasonably requested by the Administrative Agent, (including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower, or one of its Subsidiaries may be a party).

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory received, to the Administrative Agent)extent not previously delivered, with a copy for each Lendertrue, true correct and correct complete copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Group Members may be a partyparty that in each case is listed on Schedule 7.2(d) (the “Existing Indebtedness”).

Related Agreements. The Administrative Agent Agents shall have received (in a form reasonably satisfactory to the Administrative AgentAgents), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerBorrowers, of (i) the Acquisition Agreement and (ii) such other documents or instruments as may be reasonably requested by the Administrative AgentAgents, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)Agents, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of each Underlying Lease and such other documents or instruments as may be reasonably requested by the Administrative AgentAgents, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in delivered by a form method reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerMAPCO Express, of (i) the Tax Sharing Agreement, (ii) the McLane Distribution Service Agreement and the Premcor Agreement and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or its Subsidiaries may be a party.

Related Agreements. The Administrative Agent Agents shall have received (in a form reasonably satisfactory to the Administrative Agent)------------------ received, with a copy for each Lender, true and correct copies, certified as to authenticity by the relevant Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract that they have requested to which the Loan Parties may be a party.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of the Senior Subordinated Note Indenture and any other debt instrument, security agreement or other material contract for borrowed money to which any of the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Acquisition Agreement and the Senior Subordinated Note Indenture and such other documents or instruments as may be reasonably requested by the Administrative Syndication Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Acquisition Agreement, the Second Priority Note Indenture, the Xxxx Xxxxxxx Credit Agreement, the Timberlands Loan Agreement, the Timberlands Wood Supply Contract and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any material debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a partyAcquisition Agreements.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the each Borrower, of the Merger Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties any Credit Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copiescopies of each of the existing Revenue Sharing Agreements and any purchase agreements signed in connection with an Acquisition or proposed Acquisition (either of which is expected to occur on or after the Closing Date), certified as to authenticity by the Borrower, of and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, Agent (including a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or any Subsidiary may be a party).

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)satisfactory, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Acquisition Documentation and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the any Loan Parties Party may be a party.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) all documentation related to the Restructuring and the CMBS Financing and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other documents or instruments as may be in existence and reasonably requested by the Administrative AgentAgents, including, without limitation, a copy of the Employment Agreements, the Executive Agreements, the Equity Compensation Trust Agreement and a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Company, Holdings or TWP Capital II may be a partyparty and requested by the Agents.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerBorrowers, of all Zipp Acquisition Documents and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties any Borrower, Zipp or any of their Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerBorrowers, of the Acquisition Documentation (to the extent executed) and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other documents or instruments as may be in existence and reasonably requested by the Administrative AgentAgents, including, without limitation, a copy of the Employment Agreements, the Executive Agreements, the Equity Compensation Trust Agreement, the Partnership Agreement and a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Company, Holdings, WPZ or TWP Capital II may be a partyparty and requested by the Agents.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Administration Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerBorrowers, of such other documents or instruments as may be reasonably requested by the Administrative Syndication Agent, including, without limitation, a copy of the Stockholders Agreement and any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)------------------ received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrowera Responsible Officer of ASI, of the Purchase Agreement, the Intercreditor Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties ASI and any of its Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of each of (i) each Stock Purchase Agreement, (ii) each Capital Call Agreement, (iii) the Assignment of Capital Call Rights and (iv) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)true, with a copy for each Lender, true correct and correct complete copies, certified as to authenticity by the Borrower, of the Securitization Management Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which any of the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Southwest and Pro Disposal Acquisition Documentation and (ii) such other material documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any material debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Syndication Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of each Acquisition Agreement and such other documents or instruments as may be reasonably requested by the Administrative Syndication Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Xxxxxx Acquisition Agreement and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Note Indenture and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Discount Note Indenture, (ii) the Senior Note Indenture, (iii) the Loral Agreement and (iv) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Partnership Agreement (as defined in the Existing EPNHC Credit Agreement), the certificate of limited partnership of the Borrower, the limited liability company agreement, limited partnership agreement, or other equivalent governance documents, as the case may be, of each Subsidiary of the Borrower, the General Partner and the Limited Partner, and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, International of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties International or its Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerHoldings, of (i) the Merger Agreement, (ii) the Existing Debt Instruments and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, instrument or security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Syndication Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Syndication Agent, including, without limitation, copies of contracts with lottery authorities and licenses issued by any Governmental Authority and a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of Merger Documents, such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, instrument or security agreement or other material contract to which the Loan Parties may Borrower and its Subsidiaries will be a partyparty after the Closing Date.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Documentation, (ii) the Acquisition Documentation and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such any documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or its Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative AgentArranger), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Insurance Policies (or certificates evidencing the effectiveness of such Insurance Policies and the material terms thereof) and such other documents or instruments as may be reasonably requested by the Administrative AgentArranger, including, without limitation, a copy of the Indenture and any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the other Basic Documents and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the any Loan Parties Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents any material debt instrument or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or any Subsidiary may be a party.

Related Agreements. The Administrative Agent shall have received (in a form and substance reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative AgentSenior Subordinated Note Indenture, including, without limitation, a copy of the Rodrxxxxx Xxxdge Loan Agreement and the Rodrxxxxx Xxxuisition Agreement and all agreements in any debt instrument, security agreement or other material contract to which the Loan Parties may be a partyrespect related thereto.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Indenture, (ii) the Acquisition Agreement, (iii) the Management Agreement and the Tax Sharing Agreement and (iv) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Parent or any Loan Parties Party may be a partyparty that is requested by the Administrative Agent.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity be true and correct by the BorrowerBorrower Representative, of the Contribution Agreement, the other Contribution Documents, the Subordinated Debt Documents, all management and service agreements to which any Borrower is a party, all other Material Contracts to which any Borrower is a party, and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract . All such documents must be satisfactory in form and substance to which the Loan Parties may be a partyAdministrative Agent.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) each Senior Subordinated Note Indenture and (ii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, instrument or security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Syndication Agent and the Administrative Agent), with a copy for each Lender, ) true and correct copies, certified as to authenticity by the BorrowerBorrowers, of such documents or instruments as may be reasonably requested by the Administrative Syndication Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties any Borrower may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, ) true and correct copies, certified as to authenticity by the BorrowerParent or Holdings, of the Indentures, the Partnership Parks Agreements, the Marine World Agreements, the Shared Services Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower, or its Subsidiaries may be a party.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, ) true and correct copies, certified as to authenticity by the BorrowerParent or Holdings, of the Indentures, the Partnership Parks Agreements, the Marine World Agreements, the Shared Services Agreement, the Tax Sharing Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the Loan Parties and Parent may be a party.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Parent, the Borrower or any of their Subsidiaries may be a party.

The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such other CREDIT AGREEMENT documents or instruments as may be reasonably requested by the Administrative AgentAgent on or prior to the Closing Date, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties Borrower or its Subsidiaries may be a party.

Related Agreements. The Administrative Agent shall have received (in a form and substance reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the BorrowerBorrowers, of the Senior Subordinated Note Documentation, the Shareholders Agreement, the Escrow Agreement and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of and any other debt instrument, security agreement or other material contract to which the any Loan Parties Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Merger Documents, the Asset Purchase Documents and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract each in form and substance reasonably satisfactory to which the Loan Parties may be a partyAdministrative Agent and the Required Lenders.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Existing Credit Agreement and the Existing Note Purchase Agreement, (ii) the Transaction Documents and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form and substance reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative AgentKXOL Acquisition Agreement, including, without limitation, a copy of any debt instrument, security agreement or other and all material contract to which the Loan Parties may be a partyAcquisition Documentation related thereto.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Note Indenture, (ii) the Equity Financing Documentation and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, including a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified to be true, correct and complete as to authenticity of the Closing Date by the a Responsible Officer of Borrower, of fully executed versions of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Administration Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Senior Subordinated Note Indenture and such other documents or instruments as may be reasonably requested by the Syndication Agent or the Administrative Agent, including, without limitation, a copy of the Senior Subordinated Note Indenture and any other material debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, instrument or security agreement or other material contract to which the Loan Parties may Borrower and its Subsidiaries will be a partyparty after the Restatement Effective Date.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the each Borrower, of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties any Credit Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form and substance reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Transaction Documentation relating to the Transactions described in Section 5.1(b) above, the Operating Documentation and the Online Provider Agreements and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the any Loan Parties Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Acquisition Agreements, the Seller Note, the Senior Subordinated Note Indenture, the Certificate of Designation in respect of the Convertible Preferred Stock, and such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)satisfactory, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, any agreements in respect of such documents the Borrower or instruments as may be reasonably requested by its Subsidiaries, the Administrative AgentWarrant Agreement, includingany equity arrangements, without limitationmanagement agreements, a copy of any purchase or other acquisition agreements, construction agreements, debt instrument, lease, security agreement or other material contract to which the any Loan Parties Party may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of the Project Level Indebtedness Documents set forth on Schedule 7.24 hereto and such other documents or instruments in each case as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, instrument or security agreement or other material contract to which the Loan Parties may Borrower and its Subsidiaries will be a partyparty after the Closing Date.

Related Agreements. The General Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent)received, with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of such documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract that they have requested to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the Borrower, of (i) the Senior Subordinated Note Indenture, (ii) the Senior Note Indenture and (iii) such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any other debt instrument, security agreement or other material contract to which the Loan Parties may be a party.

Related Agreements. The Administrative Agent shall have received (in a form reasonably satisfactory to the Administrative Agent), with a copy for each Lender, true and correct copies, certified as to authenticity by the each Borrower, of such other documents or instruments as may be reasonably requested by the Administrative Agent, including, without limitation, a copy of any debt instrument, security agreement or other material contract to which the Loan Parties may be a party.without
