Common use of Related Party Relationships Clause in Contracts

Related Party Relationships. Except as set forth on Schedule 3.29, no Shareholder owning greater than a five percent (5%) interest in the Company, no affiliate or member of the immediate family of any such Shareholder, and no officer or director or member of the immediate family of such officer or director of the Company possesses, directly or indirectly, any beneficial interest in, or is a director, officer or employee of, or member of the immediate family of a director, officer or employee of, any Person that is a client, supplier, customer, lessor, lessee, lender, creditor, borrower, debtor or contracting party with or of the Company (except as a shareholder holding less than one percent (1%) interest in a corporation whose shares are traded on a national or regional securities exchange or in the over-the-counter market).

Except as set forth on in Schedule 3.293.21 of the Disclosure Letter or as may be contained in the investment portfolio of BCBSC, to the Acquired Company's knowledge, no Shareholder owning greater than a five percent (5%) interest in the CompanySelling Shareholder, no affiliate or member of the immediate family Affiliate of any such Shareholder, and no officer or director or member of the immediate family of such Selling Shareholder nor any officer or director of the Acquired Company possesses, directly or indirectly, any beneficial interest in, or is a director, officer or employee of, any corporation, partnership, firm, association or member of the immediate family of a director, officer or employee of, any Person that business organization which is a client, supplier, customer, lessor, lessee, lender, creditor, borrower, debtor or contracting party with or of the Acquired Company (except as a shareholder holding less than one a five percent (1%) interest in a corporation whose shares are traded on a national or regional securities exchange or in the over-the-counter market).
