Common use of Relation of the Parties Clause in Contracts

Relation of the Parties. The relationship between BioNumerik and ASTA Medica under this Agreement is that of Parties to an arms-length negotiated contract. Nothing in this Agreement is intended or is to be construed so as to create between BioNumerik and ASTA Medica, respectively, the relationship of partners, or joint ventures, or to establish either Party hereto as the employee or agent of the other Party hereto. Neither Party hereto has an express or implied right or authority under this Agreement to make any statement or commitments of any kind or to assume or to create any obligations on behalf of or in the name of the other Party hereto, or to bind the other Party hereto to any contract, agreement or undertaking with any third party
