Relations with Government. Except as set forth in Schedule 2.14, neither the Partnership nor any FRES Participant nor the Manager has made, offered or agreed to offer anything of value to any governmental official, political party or candidate for government office nor has it otherwise taken any action which would cause it or any such other Person to be in violation of the Foreign Corrupt Practices Act of 1977, as amended, or any other law of similar effect.

Neither the Selling Stockholders nor the Company have given, offered or agreed to offer anything of value to any governmental official, political party or candidate for government office nor, to the Selling Stockholders' knowledge, have they otherwise taken any action, in each case, that would cause the Company to be in violation of the Foreign Corrupt Practices Act of 1977, as amended, or any law of similar effect.
