RELATIONSHIP OF DISTRIBUTOR TO GUPTA. DISTRIBUTOR is an independent contractor with respect to GUPTA. DISTRIBUTOR is not a joint venture, agent, employer, or employee of GUPTA. All obligations associated with DISTRIBUTOR's business are the sole responsibility of DISTRIBUTOR. DISTRIBUTOR shall have no authority to act for or bind GUPTA in any manner not specified in this Agreement.
