Common use of Relationship of the Parties Clause in Contracts

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, or partnership or agency or any such other relationship between the Parties or to impose any partnership obligation or liability upon either Party and neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Party.

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, or partnership or agency or any such other relationship between the Parties or to impose any partnership obligation or liability upon either Party and neither any Party. The Company shall be solely responsible for the payment of salaries, wages and mandatory and fringe benefits of its employees, which will not have any relationship of any kind with the GOB.

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, venture or partnership or agency or any such other relationship between the Parties hereto or to impose any partnership obligation or liability upon either Party and neither such Party. Neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Party.

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, or partnership between the Parties or agency or any such other principal/agent relationship between the Parties or to impose any partnership obligation or relationship of trust or of a fiduciary nature or liability upon either Party and neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, bind the other Party.

The Purchaser shall be solely responsible for the payment of salaries, wages and mandatory fringe benefits of its employees, which will not have any relationship of any kind with GoT.

(b) Neither Party shall have any right, power power, or authority to enter into any agreement or undertaking for, or to act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Party, and neither Party shall hold itself out to any third party as having such right, power, or authority.

This Agreement is not intended, and shall not be interpreted or construed to create an any association, joint venture, agency relationship or partnership or agency or any such other relationship between the Parties or of to impose any partnership such obligation or liability upon either Party and neither Party. Relationship of the Parties. Except as explicitly provided in Section 8.1 hereof or with respect to the actions of the Administrative Committee, neither PJM nor any Party shall have any the right, power or authority under this Agreement to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the any other PartyParty or PJM.

Relationship of the Parties. Relationship of the Parties. 17.6.1 This Agreement shall not be interpreted or construed to create an association, joint venture, venture or partnership or agency or any such other relationship between the Parties or to impose any partnership obligation or liability upon either Party and neither Party. 17.6.2 Neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or to act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Party, and neither Party shall hold itself out to any third- party as having such right, power or authority.

Except as contemplated by Article 10 or Section 15.3(b), neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Party.

Relationship of the Parties. This The Parties intend that this Agreement shall not create, and shall be interpreted or construed so as not to create create, an associationagency, employment, joint venture, or partnership or agency relationship between them, nor shall it create an association or any such other relationship between the Parties or organized form of relationship. Neither party is authorized to impose make any partnership obligation or liability upon either Party and neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act warranty nor representation on behalf of, or to act as or be an agent or representative of, or to otherwise bind, of the other Partyexcept as specifically authorized in this Agreement or by some other writing.

Relationship of the Parties. Relationship of the Parties. This Agreement does not create and shall not be interpreted or construed to create an a partnership, association, joint venture, venture or partnership a fiduciary relationship of any kind or agency character between any parties to this Agreement (including one individual Seller to another Seller or any such other relationship between the Parties or Seller to Buyer) and shall not be construed to impose any partnership duty, obligation or liability upon either Party and neither Party shall have arising from such a relationship by or with respect to any right, power or authority party to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Partythis Agreement.

No Party shall have any right, power or authority to enter into any agreement or undertaking foract in the name of, or act on behalf of, or otherwise to act as commit or be an agent bind any other Party in any way whatsoever (including but not limited to the making of any representation or representative of, or to otherwise bindwarranty, the other Partyassumption of any obligation or liability and the exercise of any right or power).

Neither of the Parties, nor any of their respective employees, shall be construed to be the agent, employer, or representative of the other, nor will either Party have an expressed or implied right of authority to impose assume or create any partnership obligation or liability upon either Party and neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act responsibility on behalf of, of or to act as or be an agent or representative of, or to otherwise bind, in the name of the other Party.

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, venture or partnership or agency or any such other relationship between the Parties hereto or to impose any partnership obligation or liability upon either Party and neither such Party. Neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Party, except that Buyer shall act as Seller’s Facility Scheduling Coordinator in the manner set forth herein.

Relationship of the Parties. (1) This Agreement shall not be interpreted or construed to create an association, joint venture, venture or partnership or agency or any such other relationship between the Parties or to impose any partnership obligation or liability upon either Party and neither Party. (2) Neither Party shall have any right, power power, or authority to enter into any agreement or undertaking for, or to act on behalf of, or to act as of or be an agent or representative of, or to otherwise bind, the other Party, and neither Party shall hold itself out to any third-party as having such right, power, or authority.

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, or venture partnership or agency or any such other relationship between the Parties or to impose any partnership obligation or liability upon either Party and neither Party. Neither Party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, bind the other Party. Nothing in this Agreement shall be construed as creating any relationship between the Parties other than that of the independent sale and purchase of Gas. The Parties do not intend to create any rights, or grant any remedies to, any third party beneficiary of this Agreement.

Relationship of the Parties. This Agreement shall not be interpreted or construed to create an association, joint venture, or partnership or agency or any such other relationship between the Parties parties or to impose any partnership obligation or liability upon either Party party and neither Party party shall have any right, power or authority to enter into any agreement or undertaking for, or act on behalf of, or to act as or be an agent or representative of, or to otherwise bind, the other Partyparty.

This Assignment Agreement shall not be interpreted construed as creating an agency, partnership, joint venture or construed to create an any other form of association, joint venturefor tax purposes or otherwise, or partnership or agency or any such other relationship between the Parties or to impose any partnership obligation or liability upon either Party parties and the parties shall at all times be and remain independent contractors. Except as expressly agreed by the parties in writing, neither Party party shall have any rightright or authority, power express or authority implied, to enter into assume or create any agreement or undertaking for, or act on behalf ofobligation of any kind, or to act as make any representation or be an agent or representative ofwarranty, on behalf of the other party or to otherwise bind, bind the other Partyparty in any respect whatsoever.

Neither Party shall have nor hold itself out as having any right, right or power or authority to enter into any agreement or undertaking forassume, create, or act incur any expense, liability or obligation, expressed or implied, on behalf of, or to act as or be an agent or representative of, or to otherwise bind, of the other Party, except as expressly provided herein. Except as expressly agreed, each Party shall bear its own costs and expenses incurred under or in conjunction with its performance of its obligation contained in this Agreement.

The Company shall be solely responsible for the payment of salaries, wages and mandatory and fringe benefits of its employees, which will not have any relationship of any kind with the Off-Taker.
