Common use of Relationship with Base Indenture Clause in Contracts

Relationship with Base Indenture. The terms and provisions contained in this Second Supplemental Indenture will constitute, and are hereby expressly made, a part of the Base Indenture and the Company and the Trustee, by their execution and delivery of this Second Supplemental Indenture, expressly agree to such terms and provisions and to be bound thereby; provided, however, that the provisions of this Second Supplemental Indenture shall apply solely with respect to the 2023 Notes and the 2028 Notes and that, except as expressly supplemented hereby with respect to the 2023 Notes and the 2028 Notes, the Base Indenture shall continue in full force and effect and is in all respects confirmed, ratified and preserved. The Base Indenture and this Second Supplemental Indenture shall be read, taken and construed as one and the same instrument. In the event that any provision of this Second Supplemental Indenture expressly limits, qualifies or conflicts with a provision of the Base Indenture, such provision of this Second Supplemental Indenture shall control.

The terms and provisions contained in this Second First Supplemental Indenture will constitute, and are hereby expressly made, a part of the Base Indenture and the Company Company, Marvell and the Trustee, by their execution and delivery of this Second First Supplemental Indenture, expressly agree to such terms and provisions and to be bound thereby; provided, however, that the provisions of this Second First Supplemental Indenture shall apply solely with respect to the 2023 2026 Notes, the 2028 Notes and the 2028 2031 Notes and that, except as expressly supplemented hereby with respect to the 2023 2026 Notes, the 2028 Notes and the 2028 2031 Notes, the Base Indenture shall continue in full force and effect and is in all respects confirmed, ratified and preserved. The Base Indenture and this Second First Supplemental Indenture shall be read, taken and construed as one and the same instrument. In the event that any provision of this Second First Supplemental Indenture expressly limits, qualifies or conflicts with a provision of the Base Indenture, such provision of this Second First Supplemental Indenture shall control.

The terms and provisions contained in this Second Third Supplemental Indenture will constitute, and are hereby expressly made, a part of the Base Indenture and the Company and the Trustee, by their execution and delivery of this Second Third Supplemental Indenture, expressly agree to such terms and provisions and to be bound thereby; provided, however, that the provisions of this Second Third Supplemental Indenture shall apply solely with respect to the 2023 2029 Notes and the 2028 2033 Notes and that, except as expressly supplemented hereby with respect to the 2023 2029 Notes and the 2028 2033 Notes, the Base Indenture shall continue in full force and effect and is in all respects confirmed, ratified and preserved. The Base Indenture and this Second Third Supplemental Indenture shall be read, taken and construed as one and the same instrument. In the event that any provision of this Second Third Supplemental Indenture expressly limits, qualifies or conflicts with a provision of the Base Indenture, such provision of this Second Third Supplemental Indenture shall control.
