Relationship with the Lender. (a) The Agent may treat the person shown in its records as Xxxxxx at the opening of business (in the place of the Agent’s principal office as notified to the Finance Parties from time to time) as the Lender acting through its Facility Office: (i) entitled to or liable for any payment due under any Finance Document on that day; and (ii) entitled to receive and act upon any notice, request, document or communication or make any decision or determination under any Finance Document made or delivered on that day, unless it has received not less than five Business Daysprior notice from that Lender to the contrary in accordance with the terms of this Agreement. (b) The Lender may by notice to the Agent appoint a person to receive on its behalf all notices, communications, information and documents to be made or despatched to that Lender under the Finance Documents. Such notice shall contain the address and (where communication by electronic mail or other electronic means is permitted under Clause 26.5 (Electronic communication)) electronic mail address and/or any other information required to enable the transmission of information by that means (and, in each case, the department or officer, if any, for whose attention communication is to be made) and be treated as a notification of a substitute address, electronic mail address (or such other information), department and officer by that Xxxxxx for the purposes of Clause 26.2 (Addresses) and paragraph (a)(ii) of Clause 26.5 (Electronic communication) and the Agent shall be entitled to treat such person as the person entitled to receive all such notices, communications, information and documents as though that person were the Lender.

Relationship with the Lender. To the fullest extent allowed by law, any right, power or discretion conferred by this Deed (either expressly or impliedly) or by law on a Receiver may after this Deed becomes enforceable be exercised by the Lender in relation to the Shares without first appointing a Receiver and notwithstanding the appointment of a Receiver.
Relationship with the Lender. (a) The Lender shall under no circumstance be deemed to be in a relationship of confidence or trust or a fiduciary relationship with the Nation or any of its Affiliates, or to owe any fiduciary duty to the Nation or its Affiliates. The Lender does not undertake or assume any responsibility or duty to the Nation or its Affiliates to select, review, inspect, supervise, pass judgment upon or inform the Nation or its Affiliates of any matter in connection with their Property or the operations of the Nation or its Affiliates. The Nation and its Affiliates shall rely entirely upon their own judgment with respect to such matters; and any review, inspection, supervision, exercise of judgment or supply of information undertaken or assumed by the Lender in connection with such matters is solely for the protection of the Lender and neither the Nation nor any other Person is entitled to rely thereon. (b) The Lender shall not be responsible or liable to any Person for any loss, damage, liability or claim of any kind relating to injury or death to Persons or damage to Property or other loss, damage, liability or claim caused by the actions, inaction or negligence of the Nation and its Affiliates. (c) This Agreement is made for the purpose of defining and setting forth certain obligations, rights and duties of the Nation and the Lender in connection with the Loan, and is made for the sole benefit of the Nation, the Lender, and the Lender's successors and assigns. No other Person shall have any rights of any nature hereunder or by reason hereof.
Relationship with the Lender. The Administrative Agent may treat the Lender as being entitled to payments under this Agreement and acting through its Facility Office unless it has received not less than five (5) Business Days prior notice from the Lender to the contrary in accordance with the terms of this Agreement.

Such notice shall contain the address, fax number and (where communication by electronic mail or other electronic means is permitted under clause 30.6 (Electronic communication)) electronic mail address and/or any other information required to enable the transmission of information by that means (and, in each case, the department or officer, if any, for whose attention communication is to be made) and be treated as a notification of a substitute address, fax number, electronic mail address, department and officer by the Lender for the purposes of clause 30.2 (Addresses) and clause 30.6.3 (Electronic communication) and the Agent shall be entitled to treat such person as the person entitled to receive all such notices, communications, information and documents as though that person were the Lender.
Relationship with the Lender. Subject to Clause 27.2 (Distributions by the Facility Agent), the Facility Agent may treat each Lender as the Lender is authorised to obtain proceeds in accordance with this Agreement and can act through its Facility Office unless it has received not less than five (5) Business Daysprior notice from that Lender to the contrary in accordance with the terms of this Agreement.

(b) The Lender shall not be responsible or liable to any Person for any loss, damage, liability or claim of any kind relating to injury or death to Persons or damage to Property or other loss, damage, liability or claim caused by the actions, inaction or negligence of the Borrower and its Affiliates, and Borrower hereby indemnifies and holds the Lender harmless from any such loss, damage, liability or claim. (c) This Agreement is made for the purpose of defining and setting forth certain obligations, rights and duties of Borrower and the Lender in connection with the Loan, and is made for the sole benefit of the Borrower, the Lender, and the Lender's successors and assigns. No other Person shall have any rights of any nature hereunder or by reason hereof.

  • Termination of Relationship with the Company If the Participant ceases to be an Eligible Participant for any reason, then, except as provided in paragraphs (d) and (e) below, the right to exercise this option shall terminate three months after such cessation (but in no event after the Final Exercise Date), provided that this option shall be exercisable only to the extent that the Participant was entitled to exercise this option on the date of such cessation.   • Competition with the Company Until termination of his employment and for a period of one year commencing on the date of termination, the Executive (individually or in association with, or as a shareholder, director, officer, consultant, employee, partner, joint venturer, member, or otherwise, of or through any person, firm, corporation, partnership, association or other entity) shall not, directly or indirectly, compete with the Company (which for the purpose of this Agreement also includes any of its subsidiaries or affiliates) by acting as an officer (or comparable position) of, owning an interest in, or providing services to any entity within any metropolitan area in the United States or other country in which the Company was actually engaged in business as of the time of termination of employment or where the Company reasonably expected to engage in business within three months of the date of termination of employment. For purposes of this Agreement, the term “compete with the Company” shall refer to any business activity in which the Company was engaged as of the termination of the Executive’s employment or reasonably expected to engage in within three months of termination of employment; provided, however, the foregoing shall not prevent the Executive from (i) accepting employment with an enterprise engaged in two or more lines of business, one of which is the same or similar to the Company’s business (the “Prohibited Business”) if the Executive’s employment is totally unrelated to the Prohibited Business, (ii) competing in a country where as of the time of the alleged violation the Company has ceased engaging in business, or (iii) competing in a line of business which as of the time of the alleged violation the Company has either ceased engaging in or publicly announced or disclosed that it intends to cease engaging in; provided, further, the foregoing shall not prohibit the Executive from owning up to five percent of the securities of any publicly-traded enterprise provided as long as the Executive is not a director, officer, consultant, employee, partner, joint venturer, manager, or member of, or to such enterprise, or otherwise compensated for services rendered thereby.
