Release and Other Consideration from Company. In exchange for Employee’s obligations under this Agreement, Company shall pay Employee those severance payments described in Section 7(b) of the Employment Agreement, on the terms provided in the Employment Agreement. Employee acknowledges that these severance payments are conditioned on Employee’s compliance with Sections 9 and 10 of the Employment Agreement. Company may withhold from any severance payments all federal, state, local, and other taxes and withholdings as may be required pursuant to any law or governmental regulation or ruling.
