Release and Other Consideration from Company. In exchange for Executive’s obligations under this Agreement, Company shall pay Executive those severance payments described in Section 7(c) or (e), as applicable, of the Employment Agreement, on the terms provided in the Employment Agreement. Executive acknowledges that these severance payments are conditioned on Executive’s compliance with Sections 9 and 10 of the Employment Agreement and subject to Sections 7(h) and 7(i) of the Employment Agreement. Company may withhold from any severance payments all federal, state, local, and other taxes and withholdings as may be required pursuant to any law or governmental regulation or ruling.
