Release of Escrowed Shares to Xxxxxx Xxxx. Notwithstanding anything herein to the contrary, if at any time prior to the CSR Maturity Date, the CSR Cancellation Trigger shall have occurred, (A) all CSRs shall be deemed immediately and automatically cancelled as of the date of the CSR Cancellation Trigger and (B) the Rights Agent shall cause the Escrow Agent to release the Escrowed Shares to Xxxxxx Xxxx pursuant to the Escrow Agreement.
