Common use of Release of Property Clause in Contracts

Release of Property. Borrower and Borrower TRS may Transfer any Property (each, a “Release Property”) and Lender shall release the Release Property from the applicable Mortgage Documents and release the security interest and Lien on any Collateral located at such Release Property, provided that the following conditions precedent to such Transfer are satisfied (the “Release Conditions”); provided, that, for the avoidance of doubt, the Release Conditions do not need to be satisfied in order for Lender to release its security interest and Lien on any Disqualified Property in connection with any substitution in accordance with Section 2.4.2(a): (a) Borrower shall submit to Lender, not less than ten (10) Business Days prior to the Transfer Date, a Request for Release, together with all attachments thereto and evidence reasonably satisfactory to Lender that the conditions precedent set forth in this Section 2.5 will be satisfied upon the consummation of such Transfer (for the avoidance of doubt, no Request for Release need be provided in connection with a contribution of a Release Property to Borrower TRS prior to the Transfer thereof to such third party); (b) No Event of Default has occurred and is continuing (other than a non-monetary Event of Default that is specific to such Release Property to which Section 2.4.2(a) is applicable and would be cured as a result of the release of the Release Property, so long as a mandatory prepayment is made with respect thereto in accordance with Section 2.4.2(a) (a “Qualified Release Property Default”)); (c) the Debt Yield as of the most recent Calculation Date, after giving pro forma effect for the elimination of the Underwritten Net Cash Flow for the Release Property and the repayment of the Loan in the applicable Release Amount, is at least the greater of (x) the Closing Date Debt Yield and (y) the actual Debt Yield as of such date; provided, that the condition in this clause (c) shall not be applicable to a Transfer of a Property if the Loan is prepaid in the amount that is the greater of the applicable Release Amount and 100% of the Net Transfer Proceeds for the Release Property; (d) Unless the release of the Release Property is effected in order to cure a Qualified Release Property Default, the Release Property shall be Transferred to a Person other than a Loan Party; provided, that Borrower may contribute the Release Property to Borrower TRS prior to the Transfer thereof to such third party; (e) Except for (i) a release of the Release Property that is effected in order to cure a Qualified Release Property Default, (ii) any contribution to Borrower TRS described in the proviso of the foregoing clause (d), (iii) any Transfer of Properties to an Affiliate of Borrower (excluding any contributions to Borrower TRS permitted pursuant to clause (ii) above) in an aggregate amount equal to or less than five percent (5%) of the number of Properties as of the Closing Date, (iv) a release of Designated HOA Properties or (v) any other Transfer of Properties with respect to which the Borrower has obtained a Rating Agency Confirmation to the effect that such Transfer shall not cause a downgrade, withdrawal or qualification of the ratings assigned, or to be assigned, to the Securities or any class thereof in any Securitization, the Release Property shall be Transferred pursuant to a bona fide all-cash sale of the Release Property on arm’s-length terms and conditions; (f) On or prior to the Transfer Date, Borrower shall prepay the Outstanding Principal Balance by an amount equal to the applicable Release Amount for the Release Property, and Borrower shall comply with the provisions and pay to Lender the amounts set forth in Section 2.4.4; (g) If a Cash Sweep Period is continuing on the Transfer Date, the excess, if any, of (i) the Net Transfer Proceeds for the Release Property over (ii) the applicable Release Amount for the Release Property and any other amounts payable to Lender in connection with such release, shall be deposited into the Cash Collateral Subaccount; (h) Borrower shall submit to Lender, not less than five (5) Business Days’ prior to the Transfer Date, a draft release for the applicable Mortgage Documents (and, in the event the Mortgage and the Collateral Assignment of Leases and Rents applicable to the Release Property encumber other Property(ies) in addition to the Release Property, such release shall be a partial release that relates only to the Release Property and does not affect the Liens and security interests encumbering or on the other Property(ies)) in form and substance appropriate for the jurisdiction in which the Release Property is located and shall contain standard provisions protecting the rights of Lender. In addition, Borrower shall provide all other documentation of a ministerial or administrative nature that Lender reasonably requires to be delivered by Borrower in connection with such release or assignment; (i) Borrower shall have paid all taxes and all reasonable out-of-pocket costs and expenses incurred by Lender and/or its Servicer in connection with any such release and, in addition, the fee specified on Schedule VI as being assessed by Servicer to effect such release; and (j) Notwithstanding anything to the contrary contained herein or in any other Loan Document, if the Loan is included in a REMIC Trust and the ratio of the unpaid principal balance of the Loan to the value of the remaining Properties (as determined by Lender in its sole discretion using any commercially reasonable method permitted to a REMIC Trust; and which shall exclude the value of any personal property (other than fixtures) or going concern value, if any) exceeds or would exceed 125% immediately after giving effect to the release of the Release Property, no release will be permitted unless the principal balance of the Loan is prepaid by an amount not less than the greater of (i) the Release Amount or (ii) the least amount that is a “qualified amount” as that term is defined in IRS Revenue Procedure 2010-30, as the same may be amended, replaced, supplemented or modified from time to time, unless Lender receives an opinion of counsel that, if this Section 2.5(j) is applicable but not followed or is no longer applicable at the time of such release, the Securitization will not fail to maintain its status as a REMIC Trust as a result of the release of the Release Property.

Borrower and Borrower TRS may Transfer any Property (each, a “Release Property”) and Lender shall release the Release Property from the applicable Mortgage Documents and release the security interest and Lien on any Collateral located at such Release Property, provided that the following conditions precedent to such Transfer are satisfied (the “Release Conditions”); provided, that, for the avoidance of doubt, the Release Conditions do not need to be satisfied in order for Lender to release its security interest and Lien on any Disqualified Property in connection with any substitution in accordance with Section 2.4.2(a): (a) Borrower shall submit to Lender, not less than ten (10) Business Days Days’ prior to the Transfer Date, a Request for Release, together with all attachments thereto and evidence reasonably satisfactory to Lender that the conditions precedent set forth in this Section 2.5 will be satisfied upon the consummation of such Transfer (for the avoidance of doubt, no Request for Release need be provided in connection with a contribution of a Release Property to a Borrower TRS prior to the Transfer thereof to such third party); (b) No Event of Default has occurred and is continuing (other than a non-monetary Event of Default that is specific to such Release Property to which Section 2.4.2(a) is applicable and would be cured as a result of the release of the Release Property, so long as a mandatory prepayment is made with respect thereto in accordance with Section 2.4.2(a) (a “Qualified Release Property Default”)); (c) the Debt Yield as of the most recent Calculation Date, after giving pro forma effect for the elimination of the Underwritten Net Cash Flow for the Release Property and the repayment of the Loan in the applicable Release Amount, is at least the greater of (x) the Closing Date Debt Yield and (y) the lesser of (A) the actual Debt Yield as of such datedate and (B) 8.18%; provided, that the condition in this clause (c) shall not be applicable to a Transfer of a Property if the Loan is prepaid in the amount that is the greater of the applicable Release Amount and 100% of the Net Transfer Proceeds for the Release Property; (d) Unless the release of the Release Property is effected in order to cure a Qualified Release Property Default, the Release Property shall be Transferred to a Person other than a Loan Party; provided, that Borrower may contribute the Release Property to a Borrower TRS prior to the Transfer thereof to such third party; (e) Except for (i) a release of the Release Property that is effected in order to cure a Qualified Release Property Default, (ii) any contribution to a Borrower TRS described in the proviso of the foregoing clause (d), (iii) any Transfer of Properties to an Affiliate of Borrower (excluding any contributions to Borrower TRS permitted pursuant to clause (ii) above) in an aggregate amount equal to or less than five percent (5%) of the number of Properties as of the Closing Date, (iv) a release of Designated HOA Properties or (v) any other Transfer of Properties with respect to which the Borrower has obtained a Rating Agency Confirmation to the effect that such Transfer shall not cause a downgrade, withdrawal or qualification of the ratings assigned, or to be assigned, to the Securities or any class thereof in any Securitization, the Release Property shall be Transferred pursuant to a bona fide all-cash sale of the Release Property on arm’sarms-length terms and conditions; (f) On or prior to the Transfer Date, Borrower shall prepay the Outstanding Principal Balance by an amount equal to the applicable Release Amount for the Release Property, and Borrower shall comply with the provisions and pay to Lender the amounts set forth in Section 2.4.4; (g) If if a Cash Sweep Period is continuing on the Transfer Date, the excess, if any, of (i) the Net Transfer Proceeds for the Release Property over (ii) the applicable Release Amount for the Release Property and any other amounts payable to Lender in connection with such release, shall be deposited into the Cash Collateral Subaccount; (h) Borrower shall submit to Lender, not less than five (5) Business Days’ prior to the Transfer Date, a draft release for the applicable Mortgage Documents (and, in the event the Mortgage and the Collateral Assignment of Leases and Rents applicable to the Release Property encumber other Property(ies) in addition to the Release Property, such release shall be a partial release that relates only to the Release Property and does not affect the Liens and security interests encumbering or on the other Property(ies)) in form and substance appropriate for the jurisdiction in which the Release Property is located and shall contain standard provisions protecting the rights of Lender. In addition, Borrower shall provide all other documentation of a ministerial or administrative nature that Lender reasonably requires to be delivered by Borrower in connection with such release or assignment; (i) Borrower shall have paid all taxes and all reasonable out-of-pocket costs and expenses incurred by Lender and/or its Servicer in connection with any such release and, in addition, the current reasonable and customary fee specified on Schedule VI as being assessed by Lender and/or its Servicer to effect such releaserelease or assignment; and (j) Notwithstanding anything to the contrary contained herein or in any other Loan Document, if the Loan is included in a REMIC Trust and the ratio of the unpaid principal balance of the Loan to the value of the remaining Properties (as determined by Lender in its sole discretion using any commercially reasonable method permitted to a REMIC Trust; and which shall exclude the value of any personal property (other than fixtures) or going concern value, if any) exceeds or would exceed 125% immediately after giving effect to the release of the Release Property, no release will be permitted unless the principal balance of the Loan is prepaid by an amount not less than the greater of (i) the Release Amount or (ii) the least amount that is a “qualified amount” as that term is defined in IRS Revenue Procedure 2010-30, as the same may be amended, replaced, supplemented or modified from time to time, unless Lender receives an opinion of counsel that, if this Section 2.5(j) is applicable but not followed or is no longer applicable at the time of such release, the Securitization will not fail to maintain its status as a REMIC Trust as a result of the release of the Release Property.

(e) Except for (i) a release of the Release Property that is effected in order to cure a Qualified Release Property Default, (ii) any contribution to Borrower TRS described in the proviso of the foregoing clause (d), (iii) any Transfer of Properties to an Affiliate of The Borrower (excluding any contributions to Borrower TRS permitted pursuant to clause (ii) above) in an aggregate amount equal to or less than five percent (5%) shall pay all reasonable costs and expenses of the number of Properties as of the Closing Date, (iv) a release of Designated HOA Properties or (v) any other Transfer of Properties with respect to which the Borrower has obtained a Rating Agency Confirmation to the effect that such Transfer shall not cause a downgrade, withdrawal or qualification of the ratings assigned, or to be assigned, to the Securities or any class thereof in any Securitization, the Release Property shall be Transferred pursuant to a bona fide all-cash sale of the Release Property on arm’s-length terms and conditions; (f) On or prior to the Transfer Date, Borrower shall prepay the Outstanding Principal Balance by an amount equal to the applicable Release Amount for the Release Property, and Borrower shall comply with the provisions and pay to Lender the amounts set forth in Section 2.4.4; (g) If a Cash Sweep Period is continuing on the Transfer Date, the excess, if any, of (i) the Net Transfer Proceeds for the Release Property over (ii) the applicable Release Amount for the Release Property and any other amounts payable to Lender Agent in connection with such release, including without limitation, reasonable attorney's fees and disbursements; and (iv) The Borrower shall pay to the Agent for the account of the Banks, which payment shall be deposited into applied to reduce the Cash outstanding principal balance of the Loans, a release price equal to one hundred twenty percent (120%) of the Designated Collateral Subaccount; Value attributable to such Mortgaged Property. In the event of a release pursuant hereto, the amount available to be borrowed against the Collateral remaining after such release shall be reduced by an amount equal to twenty percent (h20%) of the Designated Collateral Value of the Mortgaged Property so released without reducing the Designated Collateral Value of the remaining Mortgaged Properties or other Collateral for purposes of calculating release prices. Notwithstanding the foregoing, (A) the vacant land described on Schedule 5.3(a) hereto comprising part of the Mortgaged Property commonly known as Point View and (B) the farmhouse improvements at the Mortgaged Property commonly known as 000/000 Xx. Xxxx Xxxx subject to the purchase option contained in Paragraph 33 of that certain Agreement between Fidelity Union Bank, as ancillary trustee for Mellon Bank, N.A., as trustee for Westinghouse Master Trust Fund, as landlord, and Mt. Airy Associates/Management, as tenant, dated November 8, 1982, shall be released upon the payment to the Agent for the account of the Banks of an amount (without premium) equal to twenty percent (20%) of the gross sales proceeds less reasonable and customary closing costs from such sale, the Mortgaged Property commonly known as 00 Xxxxxx Street shall be released upon the payment to the Agent for the account of the Banks an amount (without premium) equal to seventy-six percent (76%) of the gross sales proceeds less reasonable and customary closing costs from such sale (the "74 Xxxxxx Release Price"), and the vacant land described in Schedule 5.3(b) hereto comprising part of the Mortgaged Property commonly known as Greenbrook Corporate Center shall be released upon the payment to the Agent for the account of the Banks an amount (without premium) equal to the amount allocated to such vacant land in the Appraisal of such Mortgaged Property (as most recently determined pursuant to this Agreement) upon the sale of such land to an unrelated third party, provided that the Borrower shall submit to Lender, not less than five (5) Business Days’ prior to the Transfer Date, a draft release Agent with the request for the applicable release of the Point View and Greenbrook Corporate Center land, 00 Xxxxxx Xxxxxx or such improvements at Mt. Airy (A) a survey satisfactory to Agent showing such land that Borrower desires to release from the Mortgage Documents and such other evidence as Agent may reasonably require to show the availability of unrestricted (whether by private agreement or governmental provision) direct access to public roads and utilities from all unreleased portions of such Mortgaged Property, (B) a certification from Borrower that the conveyance by Borrower of such land which is requested to be released will not violate the terms of any lease, agreement, ordinance or restriction by which such Mortgaged Property is subject (and, in with respect to the event release of 00 Xxxxxx Xxxxxx, any lease, agreement, ordinance or restriction by which the Mezzanine Property commonly known as 128 Technology Center is subject) and, with respect to the release of 00 Xxxxxx Xxxxxx, a certification from an appropriate licensed professional that the Mezzanine Property commonly known as 128 Technology Center satisfies all zoning requirements applicable thereto, including without limitation, parking requirements without utilization of 00 Xxxxxx Xxxxxx, and (C) evidence of the proper subdivision of the property to be released. Such payments shall be applied to reduce the outstanding principal balance of the Loans; provided, that the Borrower shall not be required to make a payment which would reduce the principal balance below zero. Upon the release of 00 Xxxxxx Xxxxxx, the Designated Collateral Value for the Mezzanine Property commonly known as 128 Technology Center shall be reduced by the amount of the 74 Xxxxxx Release Price. (b) Provided no Default or Event of Default shall have occurred hereunder or the other Loan Documents and be continuing (or would exist immediately after giving effect to the transactions contemplated by this Section 5.3), WASH may from time to time release a Mezzanine Property from the lien of the Nomura Mortgage encumbering the same (and Property Owner may obtain a release thereof from the Collateral for the Mortgage Loan), and thereafter (or concurrently) sell, transfer or otherwise convey such Mezzanine Property to a third party, without thereby requiring the Collateral Assignment prepayment of Leases the outstanding Obligations as provided in Section 3.2(c) upon the request of the Borrower and Rents applicable to upon the Release Property encumber other Property(ies) in addition to the Release Property, such release shall be a partial release that relates only to the Release Property following terms and does not affect the Liens and security interests encumbering or on the other Property(ies)) in form and substance appropriate for the jurisdiction in which the Release Property is located and shall contain standard provisions protecting the rights of Lender. Release of Property. Borrower Provided that no Event of Default or Potential Event of Default then exists, and Borrower TRS may Transfer provided that at least four (4) Properties shall remain subject to the lien of the Deed of Trust, at Borrower's written request at any Property (eachtime on or after November 19, a “Release Property”) 2002 and from time to time thereafter, Lender shall release the Release cause a Property to be released from the applicable Mortgage Documents and release Lien of the security interest and Lien on any Collateral located at Deed of Trust encumbering such Release Property, provided that upon satisfaction of the following conditions precedent to such Transfer are satisfied (the “Release Conditions”); provided, that, for the avoidance of doubt, the Release Conditions do not need to be satisfied in order for Lender to release its security interest and Lien on any Disqualified Property in connection with any substitution in accordance with Section 2.4.2(a):precedent: (a) Borrower shall submit to Lender, provide Lender with written notice of Borrower's request for a release of a Property not less than ten thirty (1030) Business Days days prior to the Transfer Date, a Request for Release, together with all attachments thereto and evidence reasonably satisfactory date on which Borrower desires such release to Lender that the conditions precedent set forth in this Section 2.5 will be satisfied upon the consummation of such Transfer (for the avoidance of doubt, no Request for Release need be provided in connection with a contribution of a Release Property to Borrower TRS prior to the Transfer thereof to such third party)become effective; (b) No Borrower shall represent and warrant to Lender that (i) no Event of Default has occurred and is continuing (other than a non-monetary or Potential Event of Default that is specific to such Release Property to which Section 2.4.2(a) is applicable and would be cured exists as a result of the release date of such release, and (ii) there has been no declared event of default under Borrower's line of credit agented by Bank of America, N.A.(or any successor facility) as of the Release Property, so long as a mandatory prepayment is made with respect thereto in accordance with Section 2.4.2(a) (a “Qualified Release Property Default”))date of such release; (c) For the Property to be released, Lender shall have been paid an amount equal to the release price allocable to such Property as shown on Exhibit A hereto (the "Release Price"); provided, however, that Borrower shall have the right to prepay additional outstanding principal under the Loan, together with any applicable Interest Rate Adjustment Premium, in order to comply with subparagraph (d) and/or subparagaph (e) below; (d) The Debt Yield Service Coverage Ratio applicable to the Property remaining subject to the Lien of the Deeds of Trust shall be equal to or greater than 1.3:1 as of the date of such release; in calculating such Debt Service Coverage Ratio, (i) Net Operating Income shall be calculated with reference to the Property remaining subject to the Lien of the Deeds of Trust following the requested release, (ii) the outstanding principal under the Loan shall reflect the prepayment of principal required under subparagraph (c) above, and (iii) Net Operating Income shall be determined by Lender on the basis of the one-year ended as of the most recent Calculation Date, after giving pro forma effect calendar quarter for which the elimination of the Underwritten Net Cash Flow Lender shall have received operating statements for the Release Property and the repayment of the Loan in the applicable Release Amount, is at least the greater of (x) the Closing Date Debt Yield and (y) the actual Debt Yield as of such date; provided, that the condition in this clause (c) shall not be applicable to a Transfer of a Property if the Loan is prepaid in the amount that is the greater of the applicable Release Amount and 100% of the Net Transfer Proceeds for the Release Property; (d) Unless the release of the Release Property is effected in order to cure a Qualified Release Property Default, the Release Property shall be Transferred to a Person other than a Loan Party; provided, that Borrower may contribute the Release Property to Borrower TRS prior to the Transfer thereof to such third party; (e) Except for (i) a release of the Release Property that is effected in order to cure a Qualified Release Property Default, (ii) any contribution to Borrower TRS described in the proviso of the foregoing clause (d), (iii) any Transfer of Properties to an Affiliate of Borrower (excluding any contributions to Borrower TRS permitted pursuant to clause (ii) above) in an aggregate amount equal to or less than five percent (5%) of the number of Properties as of the Closing Date, (iv) a release of Designated HOA Properties or (v) any other Transfer of Properties with respect to which the Borrower has obtained a Rating Agency Confirmation to the effect that such Transfer shall not cause a downgrade, withdrawal or qualification of the ratings assigned, or to be assigned, to the Securities or any class thereof in any Securitization, the Release Property shall be Transferred pursuant to a bona fide all-cash sale of the Release Property on arm’s-length terms and conditions; (f) On or prior to the Transfer Date, Borrower shall prepay the Outstanding Principal Balance by an amount equal to the applicable Release Amount for the Release Property, and Borrower shall comply with the provisions and pay to Lender the amounts set forth in Section 2.4.4; (g) If a Cash Sweep Period is continuing on the Transfer Date, the excess, if any, of (i) the Net Transfer Proceeds for the Release Property over (ii) the applicable Release Amount for the Release Property and any other amounts payable to Lender in connection with such release, shall be deposited into the Cash Collateral Subaccount; (h) Borrower shall submit to Lender, not less than five (5) Business Days’ prior to the Transfer Date, a draft release for the applicable Mortgage Documents (and, in the event the Mortgage and the Collateral Assignment of Leases and Rents applicable to the Release Property encumber other Property(ies) in addition to the Release Property, such release shall be a partial release that relates only to the Release Property and does not affect the Liens and security interests encumbering or on the other Property(ies)) in form and substance appropriate for the jurisdiction in which the Release Property is located and shall contain standard provisions protecting the rights of Lender. In addition, Borrower shall provide all other documentation of a ministerial or administrative nature that Lender reasonably requires to be delivered by Borrower in connection with such release or assignment; (i) Borrower shall have paid all taxes and all reasonable out-of-pocket costs and expenses incurred by Lender and/or its Servicer in connection with any such release and, in addition, the fee specified on Schedule VI as being assessed by Servicer to effect such release; and (j) Notwithstanding anything to the contrary contained herein or in any other Loan Document, if the Loan is included in a REMIC Trust and the ratio of the unpaid principal balance of the Loan to the value of the remaining Properties (as determined by Lender in its sole discretion using any commercially reasonable method permitted to a REMIC Trust; and which shall exclude the value of any personal property (other than fixtures) or going concern value, if any) exceeds or would exceed 125% immediately after giving effect to the release of the Release Property, no release will be permitted unless the principal balance of the Loan is prepaid by an amount not less than the greater of (i) the Release Amount or (ii) the least amount that is a “qualified amount” as that term is defined in IRS Revenue Procedure 2010-30, as the same may be amended, replaced, supplemented or modified from time to time, unless Lender receives an opinion of counsel that, if this Section 2.5(j) is applicable but not followed or is no longer applicable at the time of such release, the Securitization will not fail to maintain its status as a REMIC Trust as a result of the release of the Release Property.
