Relevant Convictions. 1.1 This Clause shall apply if the Customer has so specified in the Order Form. 1.2 The Supplier shall ensure that no person who discloses that he has a Relevant Conviction, or who is found to have any Relevant Convictions (whether as a result of a police check or through the Criminal Records Bureau procedures or otherwise), is employed or engaged in any part of the provision of the Services without Approval. 1.3 For each member of Supplier Staff who, in providing the Services, has, will have or is likely to have access to children, vulnerable persons or other members of the public to whom the Customer owes a special duty of care, the Supplier shall (and shall procure that the relevant Sub-Contractor shall): 1.3.1 carry out a check with the records held by the Department for Education (DfE); 1.3.2 conduct thorough questioning regarding any Relevant Convictions; and 1.3.3 ensure a police check is completed and such other checks as may be carried out through the Criminal Records Bureau, and the Supplier shall not (and shall ensure that any Sub-Contractor shall not) engage or continue to employ in the provision of the Services any person who has a Relevant Conviction or an inappropriate record.

For each member of Staff who, in providing the Services, has, will have or is likely to have access to children, vulnerable persons or other members of the public to whom the Trust owes a special duty of care, the Supplier shall (and shall procure that any relevant Sub-contractor shall) and shall provide evidence upon request that such obligations have been met: a) carry out a police check; b) conduct thorough questioning regarding any Relevant Convictions; and c) obtain a valid disclosures check and such other checks as may be carried out through the Disclosure and Barring Service before the Supplier or any Sub-contractor engages the member of Staff in the provision of the Services; and the Supplier shall not (and shall ensure that any Sub-contractor shall not) engage or continue to employ in the provision of the Services any person who has a Relevant Conviction or an inappropriate record. 6.4.7.3. The Supplier shall monitor the level and validity of the checks under this clause 6.4 for each member of staff. The Supplier shall use its reasonable endeavours to procure that the Trust is advised and kept informed at all times of any member of Staff who, subsequent to his/her commencement of employment as a member of Staff receives a Relevant Conviction or whose previous Relevant Convictions or inappropriate record become known to the Supplier 6.4.7.4. The Supplier warrants that at all times for the purposes of this Agreement it has no reason to believe that any person who is or who will be employed or engaged by the Supplier in the provision of the Services is barred form the activity in accordance with the provisions of the Safeguarding Vulnerable Groups Act 2006 and any regulation made thereunder, as amended from time to time.

Relevant Convictions. The Supplier shall carry out checks for Relevant Convictions prior to any Supplier Personnel providing Services under the Commercial Agreement and/or any Enabling Agreement. Due Diligence The Supplier acknowledges that: The Authority has delivered or made available to the Supplier all of the information and documents that the Supplier considers necessary or relevant for the performance or its obligations under the Commercial Agreement; it has made its own enquiries to satisfy itself as to the accuracy of the Due Diligence Information; it has satisfied itself (whether by inspection or having raised all relevant due diligence questions with the Authority before the Commencement Date of the Commercial Agreement) and has entered into the Commercial Agreement in reliance on its own due diligence alone; and it shall not be excused from the performance of any of its obligations under the Commercial Agreement on the grounds of, nor shall the Supplier be entitled to recover any additional costs or charges (including by way of increasing the Service Fees or reducing the level of Management Charge) arising as a result of any: misrepresentation of the requirements of the Supplier in the Invitation to Tender or elsewhere; and/or failure by the Supplier to satisfy itself as to the accuracy and/or adequacy of the Due Diligence Information. Implementation Plan The Supplier shall populate the Implementation Plan set out in Annex 3 (Implementation Plan) of the Enabling Agreement pursuant to paragraph 2 of Schedule 7 (Implementation Schedule). Sustainability The Supplier acknowledges that the Authority places great emphasis on sustainability. The Supplier shall be responsible for the sustainability of the Services and Supplier’s systems and shall at all times provide a level of sustainability which is in accordance with Good Industry Practice, the Law, the Standards, and any sustainability requirements set out Schedule 19 – Sustainability and Social Value and elsewhere in the Commercial Agreement.
