Reliance on Officers of the Manager. It is understood and agreed that each officer of the Manager may act for and in the name of the Manager under this Agreement. In dealing with any officer of the Manager acting for or on behalf of the Venture, no Person shall be required to inquire into, and Persons dealing with the Venture are entitled to rely conclusively on, the right, power and authority of any officer of the Manager to bind the Venture.
