Reliance on Representations and Warranties of the Purchaser. Notwithstanding any right of the Company or the Seller to investigate the affairs of the Purchaser and notwithstanding any knowledge of facts determined or determinable by the Company or the Seller pursuant to such investigation or right of investigation, the Company and the Seller shall have the right to rely fully upon the representations, warranties, covenants and agreements of the Purchaser contained in this Agreement.
Reliance on Representations and Warranties of the Purchaser. The Purchaser understands and acknowledges that the Company is relying on the representations and warranties made by the Purchaser in this Agreement in connection with the transactions contemplated hereby.

Notwithstanding any right of the Nollec Parties to investigate the affairs of the Purchaser and notwithstanding any knowledge of facts determined or determinable by the Nollec Parties pursuant to such investigation or right of investigation, the Nollec Parties shall have the right to rely fully upon the representations, warranties, covenants and agreements of Purchaser contained in this Agreement. Reliance on Representations and Warranties of the Purchaser. The Purchaser understands and acknowledges that the Company is relying on the representations and warranties made by the Purchaser in this Agreement in connection with the transactions contemplated hereby, the Company's preparation of the Prospectus Supplement and the filing of the Prospectus Supplement with the Securities and Exchange Commission.
