REMEDIES OF THE PARTIES. a. If Buyer breaches, repudiates, or otherwise fails to timely perform this Agreement, then the City may elect to (i) terminate this Agreement by written notice to the Buyer, or (ii) to enforce this Agreement by any remedy available to it under law, including specific performance. b. If the City breaches, repudiates, or otherwise fails to timely perform this Agreement, then the Buyer’s sole and exclusive remedy will be to terminate this Agreement by written notice to the City and to recover its actual out-of-pocket expenses associated with this transaction from the City.
