REMIC Certificate. The Trust Agreement also permits the amendment thereof, in certain limited circumstances, without the consent of the Holders of any of the REMIC Certificates. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. This Class 8- 40- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 46- REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx MaeXxx, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx Mae or the Trustee may treat the Person in whose name this Class 8- 46- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae Xxx nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx Mae or the Trustee shall be affected by notice to the contrary. This Class 8- 46- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 15- REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx MaeXxx, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx Mae or the Trustee may treat the Person in whose name this Class 8- 15- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae Xxx nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx Mae or the Trustee shall be affected by notice to the contrary. This Class 8- 15- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 15- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 15- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. Unless the certificate of authentication hereon has been executed by or on behalf of the Certificate Registrar by manual or facsimile signature, this Class 8- 15- REMIC Certificate shall not be entitled to any benefit under the Trust Agreement or be valid for any purpose. * * * * * * * *

As provided in the Trust Agreement and subject to certain limitations set forth therein, the transfer of this Class 8- 51- REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae upon surrender of this Class 8- 51- REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae and the Certificate Registrar duly executed by, the Holder hereof or such Holder’s attorney duly authorized in writing, and such other documents as Xxxxxx Xxx, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 51- REMIC Certificate for the same initial Certificate Balance will be issued to the designated transferee. A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange of this Class 8- 51- REMIC Certificate and Xxxxxx Xxx may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- 51- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- 51- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 51- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 51- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. Unless the certificate of authentication hereon has been executed by or on behalf of the Certificate Registrar by manual or facsimile signature, this Class 8- 51- REMIC Certificate shall not be entitled to any benefit under the Trust Agreement or be valid for any purpose. * * * * * * * *

As provided in the Trust Agreement and subject to certain limitations set forth therein, and subject to the restrictions on transfer set forth on the first and second pages hereof, the transfer of this Class 8- 30-R REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae Xxx upon surrender of this Class 8- 30-R REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx Mae for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae Xxx and the Certificate Registrar duly executed by, the Holder hereof or such Holder’s attorney duly authorized in writing, and such other documents as Xxxxxx XxxMae, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 30-R REMIC Certificate for the same initial Certificate Balance will be issued to the designated transferee. The Holder of this Class 30-R REMIC Certificate evidencing the largest percentage interest in such Class, by the acceptance of such Certificate, agrees that Xxxxxx Xxx is designated as its fiduciary in the performance of all the duties required of, or permitted to be taken by, the tax matters person for such Trust and, if necessary, to execute a power of attorney to such effect. As provided in the Trust Agreement and subject to certain limitations therein set forth, this Class 30-R REMIC Certificate is transferable by the Holder surrendering the same. A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange of this Class 8- 30-R REMIC Certificate and Xxxxxx Xxx may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- 30-R REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- 30-R REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 30-R REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 30-R REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. Unless the certificate of authentication hereon has been executed by or on behalf of the Certificate Registrar by manual or facsimile signature, this Class 8- 30-R REMIC Certificate shall not be entitled to any benefit under the Trust Agreement or be valid for any purpose. * * * * * * * * * *

A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange of this Class 8- 64- REMIC Certificate and Xxxxxx Xxx may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- 64- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- 64- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 64- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 64- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. As provided in the Trust Agreement and subject to certain limitations set forth therein, the transfer of this Class 8- 13-LO REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae the Trustee upon surrender of this Class 8- 13-LO REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx the Trustee for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae the Issuer, the Trustee and the Certificate Registrar duly executed by, the Holder hereof or such HolderXxxxxx’s attorney duly authorized in writing, and such other documents as Xxxxxx Xxxthe Issuer, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 13-LO REMIC Certificate for the same initial Certificate Balance will be issued to the designated transferee. Xxxxxx MaeThe Issuer, the Guarantor, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee their respective agents may treat the Person in whose name this Class 8- 13-LO REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor none of the Issuer, the Guarantor, the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall their respective agents will be affected by notice to the contrary. This Class 8- 13-LO REMIC Certificate and the Trust Agreement shall will be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed thereintherein (without giving effect to conflicts of law principles). This Class 8- 13-LO REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 13-LO REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 72- REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange of this Class 8- 84- REMIC Certificate and Xxxxxx Xxx may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- 84- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- 84- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 35- REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx MaeXxx, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx Mae or the Trustee may treat the Person in whose name this Class 8- 35- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae Xxx nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx Mae or the Trustee shall be affected by notice to the contrary. This Class 8- 35- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. As provided in the Trust Agreement and subject to certain limitations set forth therein, the transfer of this Class 8- 58- REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae upon surrender of this Class 8- 58- REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae and the Certificate Registrar duly executed by, the Holder hereof or such Holder’s attorney duly authorized in writing, and such other documents as Xxxxxx Xxx, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 58- REMIC Certificate for the same initial Certificate Balance will be issued to the designated transferee. A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange of this Class 8- 58- REMIC Certificate and Xxxxxx Xxx may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- 58- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- 58- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 58- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 58- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. Unless the certificate of authentication hereon has been executed by or on behalf of the Certificate Registrar by manual or facsimile signature, this Class 8- 58- REMIC Certificate shall not be entitled to any benefit under the Trust Agreement or be valid for any purpose. * * * * * * * *

REMIC Certificate. The Trust Agreement also permits the amendment thereof, in certain limited circumstances, without the consent of the Holders of any of the REMIC Certificates. This Class 8- 29- REMIC Certificate is issuable only as a registered Class 8- 29- REMIC Certificate. As provided in the Trust Agreement and subject to certain limitations set forth therein, the transfer of this Class 8- 29- REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae Xxx upon surrender of this Class 8- 29- REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx Mae for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae Xxx and the Certificate Registrar duly executed by, the Holder hereof or such Holder’s attorney duly authorized in writing, and such other documents as Xxxxxx XxxMae, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 29- REMIC Certificate for the same initial Certificate Principal Balance will be issued to the designated transferee. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 29- REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx MaeXxx, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx Mae or the Trustee may treat the Person in whose name this Class 8- 29- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae Xxx nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx Mae or the Trustee shall be affected by notice to the contrary. This Class 8- 29- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 29- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 29- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. Unless the certificate of authentication hereon has been executed by or on behalf of the Certificate Registrar by manual or facsimile signature, this Class 8- 29- REMIC Certificate shall not be entitled to any benefit under the Trust Agreement or be valid for any purpose. * * * * * * * *

As provided in the Trust Agreement and subject to certain limitations set forth therein, and subject to the restrictions on transfer set forth on the first and second pages hereof, the transfer of this Class 8- 35-R REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae upon surrender of this Class 8- 35-R REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae and the Certificate Registrar duly executed by, the Holder hereof or such Holder’s attorney duly authorized in writing, and such other documents as Xxxxxx Xxx, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 35-R REMIC Certificate for the same initial Certificate Principal Balance will be issued to the designated transferee. The Holder of this Class 35-R REMIC Certificate, by the acceptance of such Certificate, agrees that Xxxxxx Mae is designated as its fiduciary in the performance of all the duties required of, or permitted to be taken by, the tax matters person for such Trust and, if necessary, to execute a power of attorney to such effect. As provided in the Trust Agreement and subject to certain limitations therein set forth, this Class 35-R REMIC Certificate is transferable by the Holder surrendering the same. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 35-R REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx MaeXxx, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx Mae or the Trustee may treat the Person in whose name this Class 8- 35-R REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae Xxx nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx Mae or the Trustee shall be affected by notice to the contrary. This Class 8- 35-R REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 35-R REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 35-R REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. Unless the certificate of authentication hereon has been executed by or on behalf of the Certificate Registrar by manual or facsimile signature, this Class 8- 35-R REMIC Certificate shall not be entitled to any benefit under the Trust Agreement or be valid for any purpose. * * * * * * * * * * *

As provided in the Trust Agreement and subject to certain limitations set forth therein, and subject to the restrictions on transfer set forth on the first and second pages hereof, the transfer of this Class 8- 4-R REMIC Certificate is registrable in the Certificate Register of Xxxxxx Mae upon surrender of this Class 8- 4-R REMIC Certificate for registration of transfer at the office or agency maintained by Xxxxxx Xxx for such purpose, duly endorsed by, or accompanied by a written instrument of transfer in form satisfactory to Xxxxxx Mae and the Certificate Registrar duly executed by, the Holder hereof or such Holder’s attorney duly authorized in writing, and such other documents as Xxxxxx Xxx, the Trustee or the Certificate Registrar may require, and thereupon a new Class 8- 4-R REMIC Certificate for the same initial Certificate Balance will shall be issued to the designated transferee. A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange The Holder of this Class 8- 4-R REMIC Certificate and Certificate, by the acceptance of such Certificate, agrees that Xxxxxx Xxx may require payment Mae is designated as its fiduciary in the performance of all the duties required of, or permitted to be taken by, the tax matters person for the Trust Fund and, if necessary, to execute a sum sufficient power of attorney to cover any tax or other governmental charge that may be imposed in connection therewithsuch effect. This Class 8- 4-R REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 4-R REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 4-R REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. A service charge in an amount determined by Xxxxxx Mae shall be imposed for any registration of transfer or exchange of this Class 8- 62- REMIC Certificate and Xxxxxx Xxx may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx Mae, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx or the Trustee may treat the Person in whose name this Class 8- 62- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx or the Trustee shall be affected by notice to the contrary. This Class 8- 62- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein. This Class 8- 62- REMIC Certificate is issued under and is subject to the terms, provisions and conditions of the Trust Agreement, to which Trust Agreement the Holder of this Class 8- 62- REMIC Certificate by virtue of the acceptance hereof assents and by which such Holder is bound. A service charge in an amount determined by Xxxxxx Mae Xxx shall be imposed for any registration of transfer or exchange of this Class 8- 30- REMIC Certificate and Xxxxxx Xxx Mae may require payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection therewith. Xxxxxx MaeXxx, the Trustee, the Certificate Registrar and any agent of Xxxxxx Xxx Mae or the Trustee may treat the Person in whose name this Class 8- 30- REMIC Certificate is registered as the owner hereof for all purposes, and neither Xxxxxx Mae Xxx nor the Trustee, the Certificate Registrar or any agent of Xxxxxx Xxx Mae or the Trustee shall be affected by notice to the contrary. This Class 8- 30- REMIC Certificate and Trust Agreement shall be construed in accordance with, and governed by, the substantive laws of the District of Columbia applicable to agreements made and to be performed therein.
