Removal from any Boards and Position. If the Executive’s employment is terminated for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliates.

Removal from any Boards and Position. If the Executive’s employment is terminated for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

For purposes of this Agreement, including, but not limited to, as an officer of “Xxxxx Companies” means the Company and any all of its subsidiaries or other Affiliatessubsidiaries, successors and assigns.

If Except as otherwise expressly approved by the Board, if the Executive’s 's employment is terminated by the Company for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

Removal from any Boards and Position. If Upon the termination of Executive’s employment is terminated with the Company for any reason under this Agreementreason, he shall will be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or and from the board of directors (or similar governing body) of any Affiliate subsidiary of the Company or and/or any other board to which he has been appointed or nominated by or on behalf of the Company Company, and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer and director of the Company and any of its subsidiaries subsidiaries. Executive agrees to execute any resignation that the Company determines to be necessary or other Affiliatesappropriate to give effect to this Section 7(c).

If the Executive’s employment is terminated for any reason under this Agreement, unless otherwise requested by the Company, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliates.

If the Executive’s employment is terminated terminates for any reason under this Agreementreason, he the Executive shall be deemed (without further action, deed or notice) to resign (ia) if a member, from the Board or board boards of directors (or similar governing body) of any Affiliate of the Company or any other board to which he she has been appointed or nominated by or on behalf of the Company and (iib) from all other positions any position with the Company and its subsidiaries and affiliates or any subsidiary or other Affiliate of the Company, including, but not limited to, fiduciary positions that she holds as an officer of the Company and any of its subsidiaries or other Affiliatesa result thereof.

If the Executive’s employment is terminated for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company Company, Holdings or the LLC or any of their subsidiaries and (ii) from all other positions any position with the Company Company, Holdings, the LLC, or any subsidiary or other Affiliate of the Companytheir subsidiaries, including, but not limited to, as an officer of the Company and any of its subsidiaries or other AffiliatesCompany.

If the Executive’s employment is terminated for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) subject to Article 6, from all other positions with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

If the Executive’s employment is terminated Employment Term terminates for any reason under this AgreementAgreement without the Executive continuing as Chairman of the Board, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary or affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

Removal from any Boards and Position. If the ExecutiveEmployee’s employment is terminated for any reason under this Agreement, upon notice of termination, he shall be deemed (without further action, deed or notice) to immediately resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliates.

Removal from any Boards and Position. If the Executive’s employment is terminated terminates for any reason under this Agreementreason, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) managers of any Affiliate of the Company other NexTier Companies (as defined below) or any other board to which he has been appointed or nominated by or on behalf of the Company Company; and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the CompanyNexTier Companies. For purposes of this Agreement, including, but not limited to, as an officer of “NexTier Companies” means the Company and any all of its subsidiaries or other Affiliatessubsidiaries, successors and assigns.

Removal from any Boards and Position. If the Executive’s 's employment is terminated for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries subsidiaries. For avoidance of doubt, nothing in this section 5.6 shall require Executive to resign any duties or other Affiliatesresponsibilities he has with COAC.

Removal from any Boards and Position. If the Executive’s employment is terminated terminates for any reason under this Agreementreason, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar other governing bodyboard) of any Affiliate of the Company Xxxxx Companies (as defined below) or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other AffiliatesXxxxx Companies.

Removal from any Boards and Position. If the Executive’s employment is terminated terminates for any reason under this Agreementreason, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or the board of directors (or similar governing body) managers of any Affiliate of the Company other Xxxxx Companies (as defined below) or any other board to which he has been appointed or nominated by or on behalf of the Company Company; and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other AffiliatesXxxxx Companies.

Removal from any Boards and Position. If the Executive’s employment is terminated terminates for any reason under this Agreementreason, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors managers (or similar other governing bodyboard) of any Affiliate of the Company Xxxxx Companies (as defined below) or any other board to which he has been appointed or nominated by or on behalf of the Company Company, and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other AffiliatesXxxxx Companies.

Removal from any Boards and Position. If the Executive’s employment is terminated for any reason under this Agreement, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of the Company, any Affiliate of the Company or any other board to which he the Executive has been appointed or nominated by or on behalf of the Company and (ii) from all other positions with the Employment Agreement – Xxxxxxx X. Xxxxxx, M.D. Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliates.

Removal from any Boards and Position. If the Executive’s employment is terminated for any reason under this Agreement, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other member of the Company Group or any other board to which he the Executive has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the CompanyGroup, including, but not limited to, as an officer of the Company and any other member of its subsidiaries or other Affiliatesthe Company Group.

Removal from any Boards and Position. If the Executive’s Employee's employment is terminated for any reason under this Agreement, he she shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he she has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

Removal from any Boards and Position. If Upon the termination of Executive’s employment is terminated with the Company for any reason under this Agreementreason, he shall Executive will be deemed (without further action, deed or notice) to resign from (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or and/or any other board to which he has been appointed or nominated by or on behalf of the Company (including the Board) and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer and director of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

If the Executive’s employment is terminated terminates for any reason under this Agreementreason, he the Executive shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or the board of directors (or similar governing body) managers of any Affiliate of the Company other Xxxxx Companies (as defined below), or any other board to which he has been appointed or nominated by or on behalf of the Company Company, and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other AffiliatesXxxxx Companies.

Removal from any Boards and Position. If the Executive’s employment is terminated with the Company terminates for any reason under this Agreementor no reason (whether initiated by the Company or the Executive), he shall be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliates.

Removal from any Boards and Position. If the Executive’s employment is terminated for any reason under this Agreement, he shall be deemed (without further action, deed or notice) to resign resign: (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company or any of its Affiliates; and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Companyits Affiliates, including, but not limited to, as an officer of the Company and any of its subsidiaries or other AffiliatesCompany.

Removal from any Boards and Position. If Upon the termination of Executive’s employment is terminated with the Company for any reason under this Agreementreason, he shall Executive will automatically, and without any further action by Executive, be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or and/or any other board to which he Executive has been appointed or nominated by or on behalf of the Company (but excluding the Parent’s Board), and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and an officer or director of any of its subsidiaries or other Affiliatessubsidiaries.

Removal from any Boards and Position. If the ExecutiveEmployee’s employment is terminated for any reason under this Agreement, he shall be deemed (without further actionto have resigned, deed or notice) to resign effective as of the date of the Employee’s termination, (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

Removal from any Boards and Position. If the Executive’s Employee's employment is terminated for any reason under this Agreement, he shall be deemed (without further actionto have resigned, deed or notice) to resign effective as of the date of the Employee's termination, (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary of the Company or any other board to which he has been appointed or nominated by or on behalf of the Company and (ii) from all other positions any position with the Company or any subsidiary or other Affiliate of the Company, including, but not limited to, as an officer of the Company and any of its subsidiaries or other Affiliatessubsidiaries.

If On the Executive’s employment is terminated for any reason under this AgreementDate of Termination, he shall the Executive will be deemed (without further action, deed or notice) to resign (i) if a member, from the Board or board of directors (or similar governing body) of any Affiliate subsidiary or affiliate of the Company or and/or any other board to which he or she has been appointed or nominated by or on behalf of the Company (including the Board), and (ii) from all other positions any position with the Company or any subsidiary of its subsidiaries or other Affiliate any of the Companyits affiliates, including, but not limited to, as an officer and director of the Company and any of its subsidiaries or other Affiliatessubsidiaries.
