Removal of a General Partner for Cause. (a) A General Partner may be removed for cause by the written vote of a majority of the Limited Partner Units, other than Units held by the General Partner as a Limited Partner. Removal for cause shall be deemed to be a withdrawal of the General Partner. Cause for removal of a General Partner shall exist only if the General Partner engages in fraud or willful gross misconduct related to the General Partner's performance of its duties hereunder.
