Common use of Removal of Managers Clause in Contracts

Removal of Managers. (a) Subject to Section 4.01, the Member may remove any (i) Manager (other than an Independent Manager) with or without cause at any time, and (ii) Independent Manager with Cause at any time. (b) Subject to Sections 4.01 and 7.05, any removal of a Manager shall become effective on such date as may be specified by the Member and in a notice delivered to any remaining Managers or the Manager designated to replace the removed Manager (except that it shall not be effective on a date earlier than the date such notice is delivered to the remaining Managers or the Manager designated to replace the removed Manager). Should a Manager be removed who is also the Member, the Member shall continue to participate in the Company as the Member and receive its share of the Company’s income, gains, losses, deductions and credits pursuant to this LLC Agreement.

(b) Subject to Sections 4.01 1.7(y), 6.1 and 7.056.6, any removal of a Manager shall become effective on such date as may be specified by the Member and Majority Members in a notice delivered to the removed Manager, any remaining Managers or and the replacement Manager designated to replace the removed Manager (except provided that it the removal of a Manager in any event shall not be effective on a date earlier than the date such notice is delivered to and the remaining Managers or the replacement Manager designated to replace the removed Manager)accepts such appointment. Should a Manager be removed who is also the Member, the Member shall continue to participate in the Company as the a Member and receive its share of the Company’s income, gains, losses, deductions and credits pursuant to this LLC Agreement.
