Common use of Removal of the Administering Authority Clause in Contracts

Removal of the Administering Authority. 7.2.1 If the Administering Authority: (a) commits a substantial or persistent breach of the terms of this Agreement or of the provisions of the Constitution; or (b) fails to redress substantial or persistent under-performance of its duties under this Agreement or fails to meet the reasonable requirements of the Board; or (c) commits gross misconduct contrary to the provisions of local government legislation or contrary to proper practices and conduct, a majority of the other Partner Authorities may terminate the appointment of the Administering Authority under this Agreement by not less than six months' written notice to the Administering Authority whereupon following the service of such notice, the other Partner Authorities shall as soon as possible agree (in consultation with the Board) that one of the other Partner Authorities shall take over the duties of the Administering Authority with effect from the date of expiry of such notice and the provisions of Schedule 3 shall apply.
