(b) If the Lease Term as described above commences on other than the first day of a calendar month or terminates on other than the last day of a calendar month, then the installments of Base Rental and Tenant’s Forecast Additional Rental for such month or months shall be prorated and the installment or installments so prorated shall be paid in advance. The payment for such prorated month shall be calculated by multiplying the monthly installment by a fraction, the numerator of which shall be the number of days of the Lease Term occurring during said commencement or termination month, as the case may be, and the denominator of which shall be the total number of days occurring in said commencement or termination month. Also, if the Lease Term commences or terminates on other than the first day of a calendar year, Tenant’s Additional Rental (defined below) shall be prorated for such commencement or termination year, as the case may be, by multiplying each by a fraction, the numerator of which shall be the number of days of the Lease Term during the commencement or termination year, as the case may be, and the denominator of which shall be 365, and the calculation described in Section 3.3(c) below shall be made as soon as possible after the termination of this Lease. Landlord and Tenant agree that the provisions relating to said calculation shall survive the termination of this Lease.
(c) Tenant shall pay all Rent rent and other sums of money as same shall become due from and payable by Tenant to Landlord under this Lease at the times and in the manner provided in this Lease, without abatement, notice, demand, counterclaim, or set-off except as otherwise provided or counterclaim.
(d) Tenant shall pay all applicable bank charges incurred by Landlord plus Twenty-five and No/100 Dollars ($25.00) for in each returned check. Rental Payments. Upon execution of this Lease by Tenant, Tenant shall pay Rent deliver to Landlord the installment of Base Rental for --------------- each the first full month during of the Lease Term in which Base Rental is not abated (i.e., the first full month of the Lease in which Base Rental exceeds Zero Dollars) together with (i) if the Commencement Date is not the first day of the month, the prorated Base Rental installment for the first partial month of the Lease term in which Base Rental is actually owed, calculated as provided in Section 2.01(b) and (ii) the Security Deposit required to be paid under Section 2.05. For purposes of this Lease, the Base Rental, Tenant's Additional Rental, Tenant’s Forecast Additional Rental, Tenant's Additional Rental Adjustment and the Parking Rent (defined below), and installments of the foregoing, are individually and collectively referred to as "Rent". Rent The Base Rental and Tenant's Forecast Additional Rental shall be due and payable in advance in equal monthly installments, sufficient to fully pay the Base Rental and Tenant's Forecast Additional Rental, respectively, for the year or partial year in question, on the first (1st) day of each month during the Lease Term. If the Commencement Date is a date other than the first (1st) day of a calendar month, the Rent for the portion of the calendar month in which the Commencement Date occurs shall be due and payable on the Commencement Date; and the Rent for such partial month shall be prorated based upon the number of days from the Commencement Date to the end of that calendar month. (b) If the Commencement Date is other than the first day of a month then the installments of Base Rental and Tenant's Forecast Additional Rental for such month or months shall be prorated and the installment or installments so prorated shall be paid in advance on the date of this Lease. Said installments for such prorated month or months shall be calculated by multiplying the appropriate monthly installment by a fraction, the numerator of which shall be the number of days of the Lease term occurring during said commencement or termination month, as the case may be, and the denominator of which shall be thirty (30). If this Lease commences or terminates on other than the first day of a year, the Base Rental, Tenant's Forecast Additional Rental and Tenant's Additional Rental shall be prorated for such commencement or termination year, as the case may be, by multiplying the Base Rental, Tenant's Forecast Additional Rental, and Tenant's Additional Rental, respectively, by a fraction, the numerator of which shall be the number of whole and partial months of the Lease term during the commencement or termination year, as the case may be, and the denominator of which shall be twelve (12). In such event, the calculation described in Section 2.03(d) shall be made as soon as possible after the termination of this Lease. Rental Payments. 2.10.1 Tenant will promptly pay all rentals and other charges and render all statements herein prescribed. Any rental payment not received by Landlord within three (3) business days of its due date shall incur a “late charge” equal to five percent (5%) of such payment to compensate Landlord for its administrative expenses in connection with such late payment. Rental Payments. The Rental Payments and Option Purchase Price are to be recalculated by the Lessor and the Lessee understands that the Rental Payment Schedule on Schedule 4 shall be revised from time to time in the event of a partial prepayment of Certificates (other than any mandatory prepayments pursuant to the Indenture). Rental Payments. Said installments for such prorated month shall be calculated by multiplying the equal monthly installment by a fraction, the numerator of which shall be the number of days of the Lease Term occurring during said commencement month, and the denominator of which shall be the total number of days in the commencement month. If the Lease Term commences or expires on a day other than the first day of a calendar year, Tenant’s Forecast Additional Rental and Tenant’s Additional Rental (as defined hereinafter) shall be prorated for such commencement or expiration year, as the case may be, by multiplying Tenant’s Forecast Additional Rental and Tenant’s Additional Rental by a fraction, the numerator of which shall be the number of whole and partial months of the Lease Term during the commencement or expiration year, as the case may be, and the denominator of which shall be twelve (12). In such event Tenant’s Additional Rental Adjustment shall be made as soon as reasonably possible after the termination of this Lease.
(c) For purposes hereof, the term “Rental” shall mean and collectively refer to the Base Rental, Tenant’s Forecast Additional Rental, Tenant’s Additional Rental Adjustment and all other sums payable by Tenant shall hereunder. Tenant agrees to pay all Rent under this Lease Rental at the times and in the manner provided in this Lease, without abatement, demand, notice, demandsetoff, counterclaim, deduction or set-off counterclaim (except as may be otherwise expressly provided for in this Lease.. Rental Payments. Except for delinquent Rental Payments, all Rental Payments under the Tenant shall pay Rent to Landlord for --------------- each month during the Lease Term as provided in this Lease. Rent Leases shall be due prorated between Buyer and payable Seller, Seller being charged and credited for all of the same allocable to the period up to the Closing Date, and Buyer being charged and credited for all of the same allocable to the period from and after the Closing Date. Seller shall be entitled to retain all paid Rental Payments and other items allocable to the period prior to the Closing. Seller shall deliver or provide a credit in advance an amount equal to all prepaid Rental Payments and other items paid by tenants for periods from and after the Closing Date to Buyer on the Closing Date. Rental Payments which are delinquent as of the Closing Date shall not be prorated on the Closing Date. Buyer shall include such delinquencies in its normal billing and shall use commercially reasonable efforts for a period of at least four (4) months following the Closing Date to collect past due Rental Payments by billing and invoicing Tenants owing any such amounts to Seller on a monthly basis, and to institute the same “follow up” actions or programs used by Buyer to collect delinquent amounts owed by Tenants to Buyer in the ordinary course of business, provided that Buyer will not be obligated to institute or threaten any lawsuit or other collection procedures against Tenants. Buyer shall not agree to any waiver, reduction, deferral, extension, or any other compromise of any delinquent Rental Payment without Seller’s prior written consent. To the extent Buyer receives Rental Payments on or after the Closing Date, such payments shall be applied first (1st) day of each month during toward the Lease Term. Rental Payments. Rental Payments. (A) All payments other than Fixed Rent to be made by Tenant pursuant to this lease shall be deemed additional rent and, in the event of any non-payment thereof, Landlord shall have all rights and remedies provided for herein or by law for non-payment of rent.
(B) All payments of Fixed Rent and additional rent (collectively, “rent” or “rental”) to be made by Tenant pursuant to this lease shall be made by checks drawn upon a New York City bank that is a member of the New York Clearing House Association or any successor thereto.
(C) Unless Landlord shall otherwise expressly agree in writing, acceptance of Fixed Rent or additional rent from anyone other than Tenant shall not relieve Tenant of any of its obligations under this lease, including the obligation to pay Fixed Rent and additional rent, and Landlord shall have the right at any time, upon notice to Landlord Tenant, to require Tenant to pay the Fixed Rent and additional rent payable hereunder directly to Landlord. Furthermore, such acceptance of Fixed Rent or additional rent shall not be deemed to constitute Landlord’s consent to an assignment of this lease or a subletting or other occupancy of the demised premises by anyone other than Tenant, nor a waiver of any of Landlord’s rights or Tenant’s obligations under this lease.
(D) Landlord’s failure to timely xxxx all or any portion of any amount payable pursuant to this lease for --------------- each month any period during the Lease Term as provided in this Lease. Rent shall be due and payable in advance on the first (1st) day neither constitute a waiver of each month during the Lease Term. If the Commencement Date is a date other than the first (1st) day of a calendar month, the Rent Landlord’s right to ultimately collect such amount or to xxxx Tenant at any subsequent time retroactively for the portion of the calendar month in entire amount so unbilled, which the Commencement Date occurs shall be due and payable on the Commencement Date; and the Rent for such partial month shall be prorated based upon the number of days from the Commencement Date to the end of that calendar month. Rent for any partial month at the end of the Lease Term shall be prorated based upon the number of days from the beginning of that month to the end of the Lease Term. Rent previously unbilled amount shall be payable at the address for Landlord designated in the first within thirty (1st30) paragraph of this Lease (or at such other address as may be designated by Landlord from time to time). Tenant shall pay all Rent under this Lease at the times and in the manner provided in this Lease, without abatement, notice, demand, counterclaim, or set-off except as otherwise provided for in this Lease.. No payment by Tenant or receipt by Landlord of a lesser amount than the total amount of Rent then due shall be deemed to be other than on account of the earliest past due installment of Rent required to be paid under this Lease. Rental Payments. Rental Payments. Tenant shall The Lessee/Customer agrees to pay Rent to Landlord the Lessor/Customer for --------------- each month the POS and services performing during the Lease Term term of this Agreement the following compensation:
a) For said term of this agreement and the renewal term of this agreement, the Lessee/Customer agrees to pay to the Lessor/Seller rentals the amount of “Reoccurring Total” as provided described at the Sales Contract attached to addendum which represents the installation of point of sale system as described at the Sales Contract attached to addendum.
b) any late payment by the Lessee/Customer shall bear a late charge of 10%. Overdue invoices shall also bear interest at the rate of 10% per year until paid in this Lease. Rent shall be due and payable in advance on the first (1st) day of each month during the Lease Termfull. If the Commencement Date is a date other than Lessor/Seller undertakes any efforts for collection of enforcement efforts, then the first (1st) day of a calendar month, the Rent for the portion of the calendar month in which the Commencement Date occurs Lessee/Customer shall be due and payable on the Commencement Date; and the Rent liable for such partial month all costs thereof, including reasonable attorney fees.
c) Sales tax shall be prorated based the responsibility of and paid by Lessee/Customer upon execution of this agreement.

No payment by Tenant or receipt by Landlord Annexed hereto is a copy of a lesser amount than the total amount of Rent then due ACH Form.
f) The Lessor/Seller (and/or its affiliates) shall be deemed to be other than on debit the account of the earliest past due installment Lessee/Customer by the “ACH” or the Lessor/Seller’s partners, affiliates, sub-contractors, Sellers assigns and beneficiaries, successors may do so on behalf of Rent required the Lessor/Seller or instead of the Lessor/Seller accordingly, and then they have to maintain the same level of security for information about the Lessee/Customer as the Lessor/Seller is obligated to maintain. If the Lessee/Customer does not have sufficient good funds on the account then the penalty of $50.00 shall be paid under this Leaseto the Lessor/Seller for each occasion. The Lessee/Customer is responsible for the cost of all consumer credit reports run on the Rent then due or Lessee/Customer by the Lessor/Seller which shall be added to pursue any other remedy available under this Lease, at law, or in equitythe monthly fee next month after the report was run.
