Reorganization of Rights. Acquisition may choose to reorganize its worldwide licensing strategy, including delegation of certain commercialization rights to a separate entity, with the prior written consent of Binary, which may not be unreasonably withheld, provided that the full beneficial terms to Binary embodied in the Agreement shall not be diminished due to such actions.
