Common use of Repayment Date Clause in Contracts

Repayment Date. The outstanding principal balance of this Note, together with any accrued but unpaid interest, shall be due and payable on the earlier of (i) the consummation of an initial underwritten public offering of shares of common stock, $0.00001 par value, of Xxxxxx & Xxxxxx Group, a Delaware corporation and sole owner of Maker (the “IPO”), or (ii) five years from the date first set out above. The principal of this Note may not be prepaid by Maker, in whole or in part, at any time without penalty.
