REPAYMENT OF CERTAIN OBLIGATIONS. On the Funding and Consummation Date, PARENT shall pay off or cause to be paid off all of the COMPANY's funded indebtedness which either (i) has been disclosed pursuant to Schedule 5.10 of this Agreement and is issued and outstanding consistent with this Agreement or (ii) is incurred in accordance with Section 10.6. After the Funding and Consummation Date, PARENT shall provide the COMPANY with the working capital required for operations.
