Common use of Repayment on Demand Clause in Contracts

Repayment on Demand. If, pursuant to paragraph (a) of Clause 27.17 (Acceleration), the Facility Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Agent, then, and at any time thereafter, the Facility Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the Company: (a) require repayment of all or the relevant part of the Outstandings on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.

Repayment on Demand. If, pursuant to paragraph (a) of Clause 27.17 21.18 (Acceleration), the Facility Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Agent, then, and at any time thereafter, the Facility Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the Companyrelevant Borrowers: (a) require repayment of all or the relevant part of the Outstandings on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.

If, pursuant to paragraph (ab) of Clause 27.17 23.15 (Acceleration), the Facility Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Agent, then, and at any time thereafter, the Facility Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the CompanyBidco: (a) require repayment of all or the relevant part of the Outstandings on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any an Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.

If, pursuant to paragraph (a) of Clause 27.17 26.18 (Acceleration), the Facility Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Agent, then, and at any time thereafter, the Facility Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the Companyrelevant Borrowers: (a) require repayment of all or the relevant part of the Outstandings on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.

If, pursuant to paragraph (a) of Clause 27.17 22.19 (Acceleration), the Facility Administrative Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Administrative Agent, then, and at any time thereafter, the Facility Administrative Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the CompanyParent Guarantor: (a) require repayment of all or the relevant part of the Outstandings Advances on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.

If, pursuant to paragraph (ab) of Clause 27.17 25.13 (Acceleration), the Facility Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Agent, then, and at any time thereafter, the Facility Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the CompanyParent: (a) require repayment of all or the relevant part of the Outstandings on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.

If, pursuant to paragraph (a) of Clause 27.17 24.20 (Acceleration), the Facility Administrative Agent declares all or any part of the Outstandings to be due and payable on demand of the Facility Administrative Agent, then, and at any time thereafter, the Facility Administrative Agent may (and, if so instructed by an Instructing Group, shall) by written notice to the CompanyBorrower: (a) require repayment of all or the relevant part of the Outstandings Advances on such date as it may specify in such notice (whereupon the same shall become due and payable on such date together with accrued interest thereon and any other sums then owed by the Parent or any Obligor under the Finance Documents) or withdraw its declaration with effect from such date as it may specify in such notice; and/or (b) select as the duration of any Interest Period or Term which begins whilst such declaration remains in effect a period of 6 months or less.
