Common use of Replacement of Certificates Clause in Contracts

Replacement of Certificates. If (i) any Certificate is mutilated and is surrendered to the Certificate Registrar or (ii) the Certificate Registrar receives evidence to its satisfaction of the destruction, loss or theft of any Certificate, and there is delivered to the Certificate Registrar such security or indemnity as may be required by them to save each of them harmless, then, in the absence of written notice to the Certificate Registrar that such destroyed, lost or stolen Certificate has been acquired by a protected purchaser, the Trustee shall execute and the Authenticating Agent shall authenticate and deliver, in exchange for or in lieu of any such mutilated, destroyed, lost or stolen Certificate, a new Certificate of like tenor and Certificate Principal Amount. Upon the issuance of any new Certificate under this Section 3.05, the Depositor or the Certificate Registrar may require the payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in relation thereto and any other expenses (including the fees and expenses of the Trustee, the Depositor, the Certificate Registrar or the Securities Administrator) connected therewith. Any replacement Certificate issued pursuant to this Section 3.05 shall constitute complete and indefeasible evidence of ownership in the applicable Trust Fund, as if originally issued, whether or not the lost, stolen or destroyed Certificate shall be found at any time. If after the delivery of such new Certificate, a protected purchaser of the original Certificate in lieu of which such new Certificate was issued presents for payment such original Certificate, the Depositor, the Securities Administrator, the Certificate Registrar, the Paying Agent and the Trustee or any agent shall be entitled to recover such new Certificate from the Person to whom it was delivered or any Person taking therefrom, except a protected purchaser, and shall be entitled to recover upon the security or indemnity provided therefor to the extent of any loss, damage, cost or expenses incurred by the Depositor, the Securities Administrator, the Certificate Registrar, the Paying Agent, the Trustee or any agent in connection therewith.

If In case any Certificate shall --------------------------- become mutilated or be destroyed, stolen or lost, then, in the absence of notice to the Paying Agent that such certificate has been acquired by a protected purchaser, the Managing Trustee shall execute and upon its request, the Paying Agent shall countersign and deliver a new Certificate of like tenor, bearing a number not contemporaneously outstanding, in exchange and substitution therefor upon the Holder's furnishing the Paying Agent with proper identification and complying with such other reasonable regulations and conditions as the Paying Agent may prescribe and paying such expenses and charges, including any bonding fee, as the Paying Agent may incur or reasonably impose; provided, however, that in the case of a destroyed, stolen or lost Certificate, prior to the Paying Agent countersigning and delivering a new Certificate in exchange or substitution therefor, there shall be delivered to the Paying Agent (i) any Certificate is mutilated and is surrendered to the Certificate Registrar or (ii) the Certificate Registrar receives evidence to its satisfaction of the such destruction, loss or theft of any Certificate, and there is delivered to the Certificate Registrar (ii) such security or indemnity as may be required by them it to save each hold it and any of them its agents harmless. Any mutilated Certificate shall be duly surrendered and cancelled before any duplicate Certificate shall be issued in exchange and substitution therefor. Upon issuance of any duplicate Certificate pursuant to this Section 5.03, thenthe original Certificate claimed to have been lost, stolen or destroyed shall become null and void and of no effect, and any protected purchaser thereof shall have only such rights as are afforded under Article 8 of the Uniform Commercial Code to a Holder presenting a Certificate for transfer in the absence case of written notice to the Certificate Registrar that such destroyed, lost or stolen Certificate has been acquired by a protected purchaser, the Trustee shall execute and the Authenticating Agent shall authenticate and deliver, in exchange for or in lieu of any such mutilated, destroyed, lost or stolen Certificate, a new Certificate of like tenor and Certificate Principal Amountan overissue. Upon the issuance of any new Certificate under this Section 3.05Section, the Depositor or the Certificate Registrar Trust may require the payment of a sum sufficient to cover any tax or other governmental charge charges that may be imposed in relation thereto and any other expenses (including the fees and expenses of the Trustee, Trustees and the Depositor, the Certificate Registrar or the Securities AdministratorPaying Agent) connected therewith. Any replacement Certificate issued pursuant to The provisions of this Section 3.05 shall constitute complete and indefeasible evidence of ownership in the applicable Trust Fund, as if originally issued, whether or not the lost, stolen or destroyed Certificate shall be found at any time. If after the delivery of such new Certificate, a protected purchaser of the original Certificate in lieu of which such new Certificate was issued presents for payment such original Certificate, the Depositor, the Securities Administrator, the Certificate Registrar, the Paying Agent and the Trustee or any agent Holder shall be entitled to recover exchange upon surrender of the existing Certificate any or all of his Certificates for one or more Certificates of such denominations as he may require representing the same aggregate number of Certificates. 16.6.2 In case any Certificate shall be lost, stolen, mutilated, defaced or destroyed, the Registrar with the approval of the Investment Adviser may issue to the person entitled new Certificate in lieu thereof. No such new Certificate shall be issued unless the applicant shall previously have (i) returned the mutilated or defaced Certificate or furnished to the Trustee /Registrar evidence satisfactory to the Investment Adviser of the loss, theft or destruction of the original Certificate, (ii) paid all expenses incurred in connection with the investigation of the facts; and (iii) furnished such indemnity as the Investment Adviser and the Trustee may require. Neither the Investment Adviser nor the Trustee nor the Registrar shall incur any liability for any action that they may take in good faith under the provisions of this sub-clause. Provided further that the Trustee and/or the Investment Adviser may also require issuance of public notices in newspapers and/or obtention of such indemnification, as the Investment Adviser and the Trustee may be appropriate, at the cost of the pertinent Certificate Holder before issuing any new certificates. 16.6.3 Before the issuing of any Certificate under the provisions of this sub-clause the Registrar may require from the Person applicant for the Certificate the payment to whom it was delivered or any Person taking therefromof a fee of twenty five Rupees for each Certificate, except a protected purchaser, and shall be entitled subject to recover upon the security or indemnity provided therefor revision of fee from time to the extent of any loss, damage, cost or expenses incurred time by the DepositorInvestment Adviser together with a sum sufficient in the opinion of the Investment Adviser to cover any Duties and Charges, the Securities Administratorif any, the Certificate Registrar, the Paying Agent, the Trustee or any agent payable in connection therewithwith the issue of such Certificate.

If (i) any Certificate is mutilated and is surrendered to the Trustee or the Certificate Registrar or (ii) the Trustee or the Certificate Registrar receives evidence to its satisfaction of the destruction, loss or theft of any Certificate, and there is delivered to the Trustee and the Certificate Registrar such security or indemnity as may be required by them to save each of them harmless, then, in the absence of written notice to the Depositor, the Trustee or the Certificate Registrar that such destroyed, lost or stolen Certificate has been acquired by a protected purchaser, the Trustee shall execute and the Authenticating Agent shall authenticate and deliver, in exchange for or in lieu of any such mutilated, destroyed, lost or stolen Certificate, a new Certificate of like tenor and Certificate Principal Amount. Upon the issuance of any new Certificate under this Section 3.05, the Trustee, the Depositor or the Certificate Registrar may require the payment of a sum sufficient to cover any tax or other governmental charge that may be imposed in relation thereto and any other expenses (including the fees and expenses of the Trustee, the Depositor, Depositor or the Certificate Registrar or the Securities AdministratorRegistrar) connected therewith. Any replacement Certificate issued pursuant to this Section 3.05 shall constitute complete and indefeasible evidence of ownership in the applicable Trust Fund, as if originally issued, whether or not the lost, stolen or destroyed Certificate shall be found at any time.
