REPLACING THE DATA PROTECTION TRUSTEE. The Issuer or Security Trustee may replace the Data Protection Trustee by a Qualified Replacement Data Protection Trustee, for good cause grounded in the conduct of the Data Protection Trustee, especially if the Data Protection Trustee has materially breached its duties under this Agreement and the Seller consents to the appointment of the proposed Qualified Replacement Data Protection Trustee by the Issuer.
REPLACING THE DATA PROTECTION TRUSTEE. The Issuer or Security Trustee may replace the Data Protection Trustee by a reputable bank in Germany or a notary with registered office in Germany or any other entity or person referred to in the Circular 4/97 of the German Federal Financial Supervisory Authority which has the capacities and abilities to perform the Data Protection Trustee's obligations hereunder, for good cause grounded in the conduct of the Data Protection Trustee, especially if the Data Protection Trustee has materially breached its duties under this Agreement and VWFS consents to the appointment of the proposed new Data Protection Trustee by the Issuer provided that such consent shall be deemed to be given if the Issuer or the Security Trustee has requested VWFS in writing to consent to the appointment and the consent or substantiating evidence of good cause for refusal of consent is not received by the Issuer or Security Trustee (as applicable) within five (5) Business Days following receipt of the request by VWFS.

The Issuer or Security Trustee may replace the Data Protection Trustee by a reputable accounting firm in Europe or any other entity or person which has the capacities and abilities to perform the Data Protection Trustee's obligations hereunder, for good cause grounded in the conduct of the Data Protection Trustee, especially if the Data Protection Trustee has materially breached its duties under this Agreement and VWFS consents to the appointment of the proposed new Data Protection Trustee by the Issuer provided that such consent shall be deemed to be given if the Issuer or the Security Trustee has requested VWFS in writing to consent to the appointment and the consent or substantiating evidence of good cause for refusal of consent is not received by the Issuer or Security Trustee (as applicable) within five (5) Business Days following receipt of the request by VWFS.
