Data Protection and Security. A. In this Agreement the following terms shall have the meanings respectively ascribed to them:

The Consultant shall comply with any guidance or conditions on access and disclosure notified by UNICEF to the Consultant in respect of UNICEF Data. The Consultant shall ensure the logical segregation of UNICEF Data from other information to the fullest extent possible. The Consultant shall put in place policies, safeguards and controls (such as administrative, technical, physical, procedural and security infrastructures, facilities, tools, technologies, practices and other protective measures) that are necessary and sufficient to meet the Consultant’s confidentiality obligations in this Contract as they apply to UNICEF Data. At UNICEF’s request, the Consultant shall provide UNICEF with copies of the applicable policies and a description of the safeguards and controls that the Consultant uses to fulfil its obligations under this Contract. UNICEF may assess the effectiveness of these safeguards, controls and protective measures and, at UNICEF’s request, the Consultant shall provide its full cooperation with any such assessment at no additional cost or expense to UNICEF. The Consultant shall not, and shall ensure that the Personnel and Affiliates shall not, transfer, copy, remove or store UNICEF Data from a UNICEF location, network or system without the prior written approval of an authorized official of UNICEF. If IQVIA deals with any personal data under this Agreement in the manner of a data controller, IQVIA shall be the data controller of such personal data to the extent of such dealings and shall comply with Data Protection Legislation. Before Processing any Personal Data, Institution and GSK shall ensure, taking into account industry good practice, the costs of implementation and the nature, scope, context and purpose of Processing, as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons, that appropriate technical and organisational controls are in place to prevent unauthorised or unlawful Processing of any Personal Data it may hold and to protect any such Personal Data from accidental loss, damage or destruction. Pokud jde o kódovaná Studijní data a údaje poskytované společnosti IQVIA a/nebo GSK, je GSK považováno za správce údajů a Poskytovatel za zpracovatele osobních údajů a obě společnosti musejí jednat v souladu s Legislativou na ochranu osobních údajů. Bude-li s jakýmikoli osobními údaji podle této Xxxxxxx nakládat jako správce údajů společnost IQVIA, bude v rozsahu, v jakém s nimi bude nakládat, správcem údajů ona a bude dodržovat Legislativu na ochranu osobních údajů.
