Reports and Notices - Changes in Ownership. The Developer agrees that during the period between execution of this Agreement and the issuance of the Certificate of Completion by the Agency the Developer will promptly notify the Agency of any and all changes whatsoever with respect to: (1) a change in the Project Manager of the Developer; (2) a change in control, ownership, legal or beneficial of the Developer; or (3) a change or any other act or transaction involving or resulting in any change in control or the ownership of the Developer. Notwithstanding anything to the contrary contained or implied in this Agreement, neither the approval or consent of the Agency or the City shall be required for any merger, acquisition, takeover, bulk sale of assets, reorganization or other similar transaction involving General Growth Properties, Inceither of the Co-Developers.

  • Reports and Notices a. The Custodian shall keep adequate records of transactions it is required to perform hereunder.
