Common use of REPORTS TO NOTEHOLDERS AND THE RATING AGENCIES Clause in Contracts

REPORTS TO NOTEHOLDERS AND THE RATING AGENCIES. (a) The Indenture Trustee at its own expense shall provide to each Noteholder a copy of each Distribution Date Statement described in Section 3.09(a) concurrently with the delivery of the statement described in Section 4.05 below. (b) The Indenture Trustee shall provide to any Noteholder who so requests in writing (addressed to the Corporate Trust Office of the Indenture Trustee) a copy of the annual audit statement described in Section 3.10, or the annual audit report described in Section 3.11. The Indenture Trustee may require the Noteholder to pay a reasonable sum to cover the cost of the Indenture Trustee's complying with such request. (c) The Indenture Trustee shall forward to the Rating Agencies and the Insurer the statement to Noteholders described in Section 4.05 and any other reports it may receive pursuant to this Agreement to (i) Standard & Poor's Ratings Services, Asset-Backed Surveillance Group, 00 Xxxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000, (ii) Xxxxx'x Investors Service, Inc., ABS Monitoring Dept., 00 Xxxxxx Xxxxxx, 0xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000, and (iii) the address of the Insurer at the address set forth in the Insurance Agreement.

The Indenture Trustee may require the Noteholder to pay a reasonable sum to cover the cost of the Indenture Trustee's ’s complying with such request.
