Common use of Reports to Rating Agencies Clause in Contracts

Reports to Rating Agencies. (a) The Indenture Trustee shall provide to each Rating Agency copies of statements, reports and notices, to the extent received or prepared in connection herewith, as follows: (i) copies of amendments to this Agreement; (ii) notice of any substitution or repurchase of any Home Loans; (iii) notice of any termination, replacement, succession, merger or consolidation of the Servicer, the Master Servicer, any Custodian or the Issuer; (iv) notice of final payment on the Notes; (v) any Notice of Default; (vi) copies of the annual independent accountants' report delivered pursuant to Section 7.05 hereof, and copies of any compliance reports delivered by the Servicer including under Section 7.04 hereof; and (vii) copies of any Payment Date Statement pursuant to Section 6.01(b) hereof.
