Common use of Reports to the Securities and Exchange Commission Clause in Contracts

Reports to the Securities and Exchange Commission. The Trustee shall, on behalf of the Trust, cause to be filed with the Securities and Exchange Commission any periodic reports required to be filed under the provisions of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Securities and Exchange Commission thereunder, for so long as any Certificates registered under the 1933 Act are outstanding (other than the Current Report on Form 8-K to be filed by the Depositor in connection with computational materials and the initial Current Report on Form 8-K to be filed by the Depositor in connection with the issuance of the Certificates). Upon the request of the Trustee, the Servicer and the Depositor shall cooperate with the Trustee in the preparation of any such report and shall provide to the Trustee in a timely manner all such information or documentation as the Trustee may reasonably request in connection with the performance of its duties and obligations under this Section.

Upon the request of the TrusteeDepositor, each Servicer, the Servicer Certificate Administrator and the Depositor Trustee shall cooperate with the Trustee Depositor in the preparation of any such report and shall provide to the Trustee Depositor in a timely manner all such information or documentation as the Trustee Depositor may reasonably request in connection with the performance of its duties and obligations under this Section.
