Seller's representation and warranties contained in this Agreement shall be deemed to have been made on the Execution Date and again at and as of the Closing and shall then be true and correct in all material respects. At Closing, Buyer shall be presented with a certificate of the President or other appropriate officer of each Seller to this effect.
