Representation by Employee. Employee represents and warrants that he is under no restriction or disability by reason of any prior contract or otherwise which would prevent him from entering into and performing his duties and obligations under this Agreement.
Representation by Employee. Employee hereby represents and warrants to the Company that the execution of this Agreement by Employee and Employee’s performance of his duties hereunder will not conflict with, cause a default under, or give any party a right to damages under any other agreement to which Employee is a party or is bound.
Representation by Employee. Employee represents and warrants that he has not entered into any other agreement or understanding which is inconsistent with the execution of this Agreement or which in any way will prevent full compliance by him with the terms of this Agreement.
Representation by Employee. Executive represents and warrants that his entering into this Agreement does not, and that his performance under this Agreement and consummation of the transactions hereby will not, violate the provisions of any agreement or instrument to which Executive is a party or any decree, judgment or order to which Executive is subject, and that this Agreement constitutes a valid and binding obligation of Executive in accordance with its terms. A breach of this representation will render all of the Company’s obligations under this Agreement ab initio.
Representation by Employee. Employee hereby represents and warrants that he is not a party to any agreement, contract or understanding, whether of employment or otherwise, which would in any way restrict or prohibit him from undertaking or performing employment with the Company in accordance with the terms and conditions of this Agreement.
Representation by Employee. Employee represents and warrants that he is not under any obligation, contractual or otherwise, to any person, firm or corporation that is inconsistent with this Agreement and his employment hereunder and that he is free to enter into and perform the terms of this Agreement.
Representation by Employee. Employee represents and warrants to the Company that there is no employment contract or any other contractual obligation to which Employee is subject which prevents Employee from entering into this Agreement or from performing fully Employee's duties under this Agreement.
Representation by Employee. Employee hereby represents and warrants to the Corporation and its shareholders as follows:
(a) There are no restrictions or covenants that the Employee is bound to, which would preclude Employee from performing his obligations hereunder;
(b) Employee did not have a written employment agreement with his previous employer;
(c) Employee has not entered into a non-competition agreement that would preclude him from performing his obligations hereunder; and
(d) Employee will not unjustifiably interfere with any advantageous contractually or business relationship that his previous employer may have; and
(e) Employee will devote his full time and use his best efforts on behalf of the Corporation.
Representation by Employee. Employee represents and warrants to the Company that his employment hereunder will not conflict with or result in a violation or breach of, or constitute a default under any contract, agreement or understanding to which he is or was a party.
Representation by Employee. Employee hereby represents and warrants that none of the transactions contemplated by this agreement will subject Employee to any income tax in any jurisdiction other than the United States, New York State, or New York City.
