Common use of Representation of Executive Clause in Contracts

Representation of Executive. The Executive represents and warrants to the Company that he is not a party to, or bound by, any agreement or understanding with any other Person that precludes or restricts his ability and entitlement in any way to carry out his duties of employment with the Company as contemplated herein, free and clear of any claims or liabilities of whatsoever nature.

Representation of Executive. The Executive represents and warrants to the Company that he is not a party to, or bound by, any agreement or understanding with commitment, or subject to any other Person that precludes restriction, including, but not limited to, agreements related to previous employment containing confidentiality or restricts his ability and entitlement non-compete covenants, which now or in any way to carry out the future may adversely affect the business of the Company or the performance by the Executive of his duties of employment with the Company as contemplated herein, free and clear of any claims or liabilities of whatsoever natureunder this Agreement.
