Common use of REPRESENTATION RIGHTS FEES Clause in Contracts

REPRESENTATION RIGHTS FEES. Representative shall pay to Venture for the right to render Services under this Agreement the greater of (i) the Guaranteed Minimum Payment or (ii) actual ad revenues billed to third parties in the performance of the Services, in each case less only Representative's actual and reasonably allocated costs of providing the Services and a profit margin of five percent (5%) of such costs (either amount, the "Representation Rights Fee"). The Representation Rights Fee shall be payable quarterly during the Term.
